2. Should the SELLER fail to make such repayment, we shall pay you the amount the SELLER ought to pay within …………………(…………………) business days after our receipt of the relevant demand for repayment. Such demand (“an authenticated demand”) may be made by you in writing by any one or more of the following means:

Your demand shall be in writing and shall include your confirmation that:

 

1)  the contract has been cancelled and/or rescinded by the buyer in accordance with the contract, and

2) the amount so demanded is due and payable by the seller in accordance with the terms of the contract,and

3)  the seller has failed to comply with its obligation to repay the amount claimed hereunder

 

你方书面要求应包括你方确认的如下事宜：

1）买方按照合同要求已经取消或者废除合同

2）根据合同条款，卖方应该的被要求偿付的金额

3). 卖方没有按照其义务偿付上述款项

 

3. However, in the event of our receipt, before your demand or within …………………business days after such demand has been received by us, of a written notice made by the SELLER stating that there is a dispute between you and the SELLER in relation to

 

(i) whether the SELLER shall be liable to repay the instalment paid by you, and

 

(ii) consequently whether you shall have the right to demand payment from us, and

 

(iii)such dispute has been submitted for arbitrition,(together with a copy of the notice commencing arbitration)

 

 

3．但是如果我们在收到你方要求之前或者在收到你方要求的…………………个工作日之内，卖方书面指出你们双方就下列问题有分歧。

 

（i）卖方是否有责任退还你方支付的各分期付款,以及

 

 

（ii）你方最终是否有权要求我们付款,

 

 

（iii）双方的争议已经被提交仲裁（同时提交一份仲裁开始通知）

 

then we shall be entitled to withhold and defer payment for a period until the final arbitration award is published. We shall not be obligated to make any payment to you unless such arbitration award orders the SELLER to make repayment. If the SELLER fails to honour the award, then we shall make payment to you to the extent the arbitration award orders but not exceeding the aggregate amount of this guarantee plus the interest described above within …………………(…………………) business days

 

我方有权拒绝和延迟付款直至买卖双方之间的仲裁裁决公布。且只有在仲裁裁决要求卖方退款时,我们才有义务付款。 如果卖方不服从判决，我们将在…………………日内付清裁决范围内规定的金额,总金额不超过担保总金额加上述利息。

 

 

4. The said repayment shall be made by us in United States Dollars by telegraphic transfer to the account specified in the notice of demand.

5. Our liability under this letter of guarantee shall be reduced automatically in accordance with the repayment made by the SELLER or by ourselves.

6. This Letter of Guarantee shall become effective from the time of the actual receipt of the …………………instalment by the SELLER at its Account No. ………………with us, and the amounts effective under this Letter of Guarantee shall correspond to the total payment actually made by you from time to time being the …………………instalment under the Contract prior to the delivery of the VESSEL. However, the available amount under this Letter of Guarantee shall in no event exceed the above mentioned amount actually paid to the SELLER, with no interest or, as the case may be, together with interest calculated as described above at …………………percent (…………………%) per annum, for the period commencing with the date of receipt by the SELLER of the…………………instalment to the date of repayment thereof.

7. This Letter of Guarantee shall remain in force until the VESSEL has been delivered to and accepted by you or full refund has been made by the SELLER or ourselves or until …………………(being …………………(…………………) days after the Delivery Date as defined in Article VII of the Contract), whichever occurs earliest. However, in the event that:

 

7．本保函有效期致船舶交船和被你方接受，或者卖方或者我方退款，或者…………………年…………………月…………………日（超过合同第七章指明的交船日…………………天）为止。以上三个条件以发生最早的为准。但是，在下列情况下：

 

7.1. Construction of the VESSEL is continuing but has not been completed on the Contract Delivery Date, this guarantee shall be automatically extended to expire on …………………(being …………………(…………………) days after the Delivery Date as defined in Article VII of the Contract), or if it occurs earlier, on delivery of the VESSEL to you as provided in the Contract; or

 

7.1 船舶的建造在合同指明的交船期没有完成且还在继续，此保函应被自动延期至…………………（合同第七章指明的交船日后…………………天），或者，如果卖方早于合同交船日交船，保函有效期与当日止。

 

7.2. There exists arbitration between you and the SELLER for any such matter as described above, then the validity of this guarantee shall be automatically extended until the date falling on the …………………(…………………) calendar day after the final arbitration award is published.

 

7.2 若卖方与你方之间就上述事由发生仲裁，此保函的有效期自动延伸到最终仲裁结果公布后的…………………日。超过此期限保函无效。

 

8. All payments by us under this Letter of Guarantee shall be made without any set-off or counterclaim and without deduction or withholding for or on account of any taxes, duties, or charges whatsoever unless we are compelled by law to deduct or withhold the same.

 

除非法律要求，本保函下由我方支付的所有款项,不得抵消,反诉和因任何税,关税和收费被减少或扣留, ,

 

In the latter event we shall make the minimum deduction or withholding permitted and will pay such additional amounts as may be necessary in order that the net amount received by you after such deductions or withholdings shall equal the amount which would have been received had no such deduction or withholding been required to be made.

 

如属后者,我们将在许可范围内尽量减少或少留,并且,如有必要,支付额外金额以使你方净收入在减少扣留后仍等于未经减少或者扣留的应付金额.

 

This Letter of Guarantee maybe assigned to an asignee for the purpose of security for the financing of the construction of the vessel or other reasonable purpose. Such an assignment has to be notified to us in writing and subject to the prior approval by CMB，such approval not to be reasonably withheld.

 

为了船舶建造的融资抵押或其他合理的原因，在此保函能够被转让。此转让必须提前书面通知招行并且得到我行核准。此核准不会被无理扣压。

 

Such an assignment has to be notified to us in writing.

9. This Letter of Guarantee is governed by the Laws of England.

 

We hereby confirm that this guarantee will be registered with the relevant SAFE authority and we also confirm that we are duly authorised to issue this guarantee and effect payment hereunder (under the approval of SAFE) in currency named above.

 

9. 本保函按英国法律解释,

 

我方在此申明此保函在相关的国家外汇管理局注册并且我们已经被国家外汇管理局批准签发保函和依上述提及货币的形式付款

 

10. All demands and notices in connection with this Letter of Guarantee shall be sent to us on or before the expiry of this guarantee at the following address:
