裸体模特拍摄协议
AGREEMENT OF NUDE MODEL PHOTOGRAPHY
甲方 (模特) ：汤佳丽 Party A ( model ): Miss Alice Tan ( hereinafter referred to as party A)
乙方 ( 摄影师或摄影公司）：香港伊丽莎白模特艺术有限公司
Party B: Hongkong Elizabeth Model Art Co., Ltd. ( herreinafter referred to as photographers or photo company ):
一. 拍摄用途及模特肖像权 Photo Purpose and Model’s Portrait Right
1. 裸体模特摄影作品内容应当健康、格调高雅、确实具有艺术品位，用于参加摄影比赛、艺术展览或是发表在专业报刊杂志。所发表在公开媒体上的图片及文字，必须事先由甲方本人审核认可才能发表。图片版权为甲方与乙方共有。
The photo works of nude model should be, with the characters of healthy, elegant style and artistic taste, used for photography contest, art exhibition published in professional newspapers and magazines. The pictures and words which are published on any public media should be subject to party B’s prior exam and approved. The copyright of picture shall become or remain the common property of party A and B.
2. 凡涉及商业广告用途的裸体模特摄影作品以及画面构图和表现手法，应当无肖像权争议。如果未经模特本人同意以赢利为目的使用其肖像，即构成违约。
Any and all nude model pictures which are used for the purpose of commercial advertisement, as well as photo composition and performance techniques thereof, should be without dispute over portrait right. Provided that using model’s portrait for commercial purpose without model’s approval, which will constitute breach of contract.
二、拍摄过程中的操作 Photography Operation
1. 摄影师不得要求模特暴露身体敏感部位（包括阴户、肛门等部位）。凡出现身体敏感部位的作品未经后期技术处理不得出现在任何媒体上。否则甲方有权追究乙方违约责任，并索赔违约金 元。
Photographer should not require mode to expose her sensitive parts of nude body (include vulva, anus, etc.). The pictures with the sensitive parts of model’s nude body without the late technical treatment shall not being published on any media, otherwise party A is entitle to impose upon party B’s breach liability and claim breach damages of one hundred thousand yuan.
2. 需要特殊构图进行拍摄的作品，必须另行商讨费用并提前洽谈拍摄内容、构图、角度等才能实施拍摄。
The photo works which are need special composition to make should be discussed on the conditions include the payment therewith, photo contents, composition, angle and other terms before performance of such photography
3. 如果乙方违反上述规定，甲方有权拒绝拍摄并离开拍摄现场，并有权向乙方要求违约索赔。
Provided that if party B violates the above provisions, party A shall have the right to refuse to cooperate the photography and leave the working site, in addition to reserve the right to claim compensation from Party B for breach of contract.
4. 如果摄影主题需要甲方配合表现出特定情绪表情时，应当事先解释清楚作品用途及商业目的。
Provided that if for the photography theme need party A is required to make cooperation of secical expressioins., the clear explanation of such work’s use and commercial purpose should be prior made.
三、拍摄过程中的其他禁止行为Other Prohibited Acts During Photography
1. 拍摄中，摄影者或导演，要求模特摆出造型时，应当用语言或者动作形容的方式与模特沟通，不得触碰或抚摸模特裸体。
Provided that if photographyer or director need model cooperate in post or shape during taking pictures, should make communication with party A by the way of gesturing, should not touch or feel model’s nude body.
2. 甲方在状态拍摄时，除其他女性模特组合拍摄外，如果未达成事先协商，甲方不接受与裸体男性模特组合拍摄的工作方式。
When party A is being taken picture in nude body, principlly only join the combination with other same sex models, if without establishing the prior agreement party A refuse to join the combination photography with the male model.
3. 甲方在状态拍摄时，拍摄内容不得有虐待、捆绑、鞭挞和男性欺凌等情节，也不得以的隐秘部分为特写摄影。本条款规定的隐秘部分特指女性阴户、肛门等部位。
The photograghy contents with party A’s nude body shall not have the plot or detail of abuse, bundling, lashing and male insult, etc, and not take the close – up photography of sexy parts of nude mode. The sexy part stipulated in this article refers to the female vulva and anus.
四. 模特拍摄报酬及其他费用 Party B’s Work Remuneration and Other Fees
1. 甲方每场拍摄工作时间为 3小时，报酬为 美元。
Party A’s each work time will be 3 hours with her remuneration of US Dollar for each work.
2. 甲方的工作时间以进入化妆间更衣开始计算至结束裸体状态为止。如果预定时间内未完成拍摄计划，需要延时工作时，乙方应当向甲方支付加班劳务费用。
Party A''s working hours are calculated on and from entering into the dressing room until the end of her naked state. Provided that if the photography plan is not completed within the schedule time and need party A’s delay work, the payment of overtime work shall be effecded by party B to party A.
（注：从保护公司利益考虑，此条可改为：甲方的工作时间从在摄影区域呈现裸体至摄影结束返回更衣间为止。）
（Note: For consideration of company’s interests, this article may be changed as: The party A’s working time will start from entering into the photographic area with her nude body till to the end of photography and return to the dressing room. ）
3、甲方在境外的签证费、国际旅行费和行李运输费等费用由其自行承担；自到达起，在境内旅行、行李运输和食宿的相关费用由甲方承担。离境旅行费用各承担一半。
Party A’s visa fee, international travel fee and baggage transportation cost beyond the border of China shall be the expense of party A itself. All expenses whatsoever in respect of or in relation to party A’s travel, baggage, transport and accommodation in China, commencing upon the arriving at the first stop within China, shall be borne by party B. The departure travel fee of party B shall be undertaken at half to half by both parties hereto.
4. 签订本协议后十天内，乙方向甲方支付拍摄费用的50%，否则甲方有权拒绝呈现裸体状态进入工作区域。
Party B should, within ten days subsequent to the execution of this agreement，effect 50% of total payment to pary A, otherwise party A reserve the right to refuse to show her nude body at the workint site.
5. 完成预约的拍摄内容后乙方需立即将剩余的劳务费用及交通往返费用报销款支付给甲方。经甲方签字的收款收据一式两份，签约双方各保存一份。乙方不得以任何理由延时支付甲方的劳务费用。
Party B should, upon the completion of photography schedule, effected immediately the remaining labor payment in addition to the reimbursement of transportation expenses to party A. The receipt of receipts which are signed by Party A shall be in two original copies, each party shall keep one copy thereof. Party B shall not delay the payment of Party A''s labor expenses for any reason.
五. 纠纷解决方式 Dispute resolution
甲乙双方之间的任何合同纠纷，双方应协商解决，协商不成的，双方同意以诉讼方式予以解决。
Any contract disputes between party A and party B shall be solved by negotiation. If negotiation fails,both parties can resolve the dispute through litigation.
六、合同份数及效力Copies and validity of contract
本合同一式两份甲乙双方各执一份。合同自甲乙双方签字后生效。本合同效力溯及至签约日。
The contract has two copies, each party keep one original. The contract will take effect immediately on and from both parties’ signature.
