I. Digital Wallet Terms of Use for TD Bank Customers (Canada)

This document contains the terms and conditions (“Terms”) that apply when you add, attempt to add, use or keep any eligible debit card, credit card, or other payment card (each, a 'Payment Card') issued by TD Bank in a digital wallet or any other electronic payment system into which your Payment Card may be enrolled or added by you ('Wallet') on any mobile or wearable device, tablet, watch or other device (each a 'Device') that supports the Wallet. These Terms are a legal agreement, so please read them carefully. The words “you” and “your” mean a TD Bank Account holder, an authorized user on a credit card Account (an 'Authorized User'), or anyone that you allow to use your Device. The words “we”, “us”, “our”, and “TD Bank” mean The Toronto-Dominion Bank and its affiliates in Canada. 'Account' means the account associated with the Payment Card.

1. Accepting These Terms: By selecting 'I agree', it means you have read and agree to these Terms. If you do not agree to these Terms, you must not add, attempt to add, use or keep the Payment Card in the Wallet.

2. Other Terms and Conditions That Apply to Your Account Still Apply. The terms of each account agreement and other agreements that apply to your Payment Card and Account including any amendments (collectively, your “Account Agreement”) supplement these Terms. The Account Agreement continues to apply to your Payment Card and Account including when you add your Payment Card or use it in the Wallet. The Account Agreement may describe, for example, the applicable fees, interest, and other terms and conditions that apply when you use a Payment Card. Nothing in these Terms changes your responsibilities under the Account Agreement. In the event of any conflict between these Terms and your Account Agreement, your Account Agreement applies. You understand that your use of the Wallet will also be subject to agreements or terms of use with the relevant Wallet provider ('Wallet Provider') or other third parties such as wireless companies or data service providers ('Other Third Parties'). TD Bank is not responsible for the Wallet Provider or Other Third Parties, and in no event shall such terms and conditions between you and the Wallet Provider or any Other Third Party be binding on TD Bank or impose any additional obligations, or obligations inconsistent with the terms and conditions of these Terms, upon TD Bank whatsoever.

3. Using a Payment Card in the Wallet. If you want to add a Payment Card to the Wallet, you must follow the procedures adopted by the Wallet Provider and any further procedures we adopt. You understand that not all Payment Cards are eligible to be added to the Wallet. We may not allow you to add a Payment Card to the Wallet if we cannot authenticate the Payment Card or if we otherwise suspect that there may be fraud associated with the Payment Card or the Account. The Wallet allows you and anyone else who has access to and use of your Device to make purchases using a Payment Card that has been added to the Wallet wherever the Wallet is accepted, subject to Payment Card activation and pre-set limits (which are subject to change). When you use your Payment Card through the Wallet to transact with a merchant, it is the same as if you swiped, inserted, waved, tapped or otherwise presented your physical Payment Card or signed the credit card slip or electronic signature device presented by the merchant and/or inputted your personal identification number to transact. Wallet transactions will be added to your credit card Account billing statement or, in the case of debit card transactions, your transaction history and Account statements (as applicable). You are financially responsible for all such transactions and associated interest charges and fees in accordance with the Account Agreement. The Wallet may not be accepted outside of Canada or at all places where your Payment Card is accepted. Please remember if you are using a Payment Card in the Wallet that requires you to activate the Payment Card, you may have to activate the Payment Card before using it in the Wallet. With respect to an Account, each Account holder and Authorized User may add their Payment Card to the Wallet to allow them to use and make purchases on the Account using the Wallet on their own Device, and you will be responsible for all such transactions in accordance with the Account Agreement.

4. Applicable Fees. We do not charge you fees for adding a Payment Card to the Wallet. Please review the Account Agreement for any fees, interest, or other charges that apply to your Account. In addition, the Wallet Provider or Other Third Parties may charge you service fees when you use your Device or the Wallet.

5. TD Bank is NOT Responsible for the Use or Function of the Wallet. TD Bank is not the provider of the Wallet and is not responsible for its use and function. We are only responsible for the Payment Card as set out in the Account Agreement. You should contact the Wallet Provider’s customer service if you have questions about how to use the Wallet or if you experience problems with the Wallet. We are not responsible for any failure of the Wallet or your inability to use a Wallet for any transaction. We are also not responsible for any loss, injury or inconvenience you suffer as a result of (a) any damage or vulnerabilities to your Device that may be directly or indirectly caused by the Wallet; (b) a merchant refusing to accept the Wallet; or (c) any actions or omissions of the Wallet Provider or any Other Third Party.

6. Your Responsibility to Keep Your Payment Card and Wallet Credentials Secure and Notify Us of Errors or Fraud. You agree to protect and keep confidential all information required for you to access your Device and the Wallet, respectively, and all information required to make purchases with a Payment Card using the Wallet on your Device, including without limitation, your User ID, passwords, passcodes and/or verification questions, if applicable, and any other information used to authenticate you to provide access to your Device and the Wallet (the 'Wallet Credentials'). If you share your Wallet Credentials or Device with others (including without limitation, by allowing others to enroll their fingerprint, set up a passcode on your Device or otherwise), they may be able to access your Device and the Wallet to make purchases with your Payment Card through the Wallet, view transactions on your Device (including by way of Notifications, which may be visible on your Device without any requirement for you to enter a login or password), or otherwise obtain your personal information. You must contact us immediately if you believe there are errors or if you suspect fraud or unauthorized use of your Payment Card. We will investigate and where appropriate resolve any potential error or fraudulent purchase on your Payment Card as set out in your Account Agreement. We will not be liable for any losses you incur except as specifically described in the Account Agreement or as otherwise provided by law. Before you sell, give away, or dispose of your Device, you must remove the Payment Card from the Wallet by following the Wallet Provider's procedures for removal, otherwise the Payment Card may be available to the person who obtains your Device and you will be responsible for any transactions completed. If your Device is lost or stolen, you must contact TD Bank immediately.

7. Security of the Wallet. In addition to your efforts to keep your Wallet Credentials secure and confidential, we take reasonable steps to help ensure that information we send to others about your use of a Payment Card in the Wallet is sent to them in a secure manner. However, the Wallet Provider is responsible for the security of information that you provide to it or that is stored in the Wallet. We are not responsible if there is a security breach affecting any information stored in the Wallet or sent from the Wallet. However, in the unlikely event you experience an Account loss resulting from a transaction through the Wallet that you did not authorize or for which you are not responsible under these Terms or any other terms or agreement with us, you will be reimbursed for such Account losses provided you have met your security responsibilities and otherwise complied with your Account Agreement.

8. We Can Block, Suspend, or Cancel Your Use of a Payment Card. We can block you or Authorized User(s) from adding an eligible Payment Card to the Wallet, suspend your or your Authorized User(s)' ability to use an eligible Payment Card to make purchases using the Wallet, or cancel entirely your or your Authorized User(s)' ability to continue to use a Payment Card in the Wallet. We may take these actions at any time and for any reason without notice or liability to you, such as if we suspect fraud with your Payment Card or Account, if you have an overdue or negative balance on your Account, if directed to do so by the Wallet Provider, a regulator, or the applicable payment card network associated with your Payment Card (such as Visa, MasterCard or Interac), if use of the Payment Card in the Wallet would interfere with, degrade the performance of, or adversely affect any products, services or software of TD Bank or others, or if applicable laws change or where otherwise required by applicable law. You may remove a Payment Card from the Wallet by following the Wallet Provider's procedures for removal.

9. Notifications. You may receive notifications on your Device upon completing transactions using your Payment Card, including transactions linked to both your physical card and the Wallet (each a 'Notification'). You may turn off Notifications at any time by adjusting the settings in the operating system of your Device. We are not responsible for any failure to provide you with information (including Notifications) through the Wallet at any time or for any reason. You should not rely on Notifications to confirm the final amount of any transaction as there could be transactions for amounts that are different than your final purchase when it is posted to your Account. 10. Our Commitment to Your Privacy. We are committed to respecting the privacy of your information and we will not collect, use or disclose your information in a manner that is inconsistent with the TD Privacy Agreement, TD Privacy Code or TD Mobile Apps Privacy Code (which may be updated from time to time), available at https://www./privacy-and-security/privacy-and-security/index.jsp. The Wallet Provider may handle your information differently, so please review the Wallet Provider's applicable agreements and privacy policy that apply to their Wallet for information as to how the Wallet Provider will collect, use and disclose your personal information. We are not responsible for any loss, injury or other harm you suffer in connection with the Wallet Provider’s use of your information.

11. Your Personal Information. You agree that we may exchange information about you (such as your name, Payment Card and transactional data) and technical data (such as device identifier, IP address and location) with the applicable Wallet Provider and/or the payment card network associated with your Payment Card, to facilitate adding a Payment Card to the Wallet, to complete any purchase you make using a Payment Card through the Wallet, to make transactional information available to you in the Wallet (for example, to display transactions linked to both your physical card and the Wallet), for internal analytics and reporting, to help manage fraud, security and error, or to assist the Wallet Provider in improving its products.

12. Feedback. To the extent you provide any ideas, requests, feedback, reports, suggestions, recommendations or other information to us, in writing, orally, by demonstration or otherwise, regarding your use of the Wallet ('Feedback'), you grant to us, our contractors and third party service providers, a fully paid-up, royalty free, perpetual, irrevocable, worldwide, assignable without consent license to make, use, sell, copy, transmit, modify, display, perform, derivative works of, distribute (directly or indirectly) and otherwise fully commercially exploit, including the right to sublicense, such Feedback in connection with our products and services or otherwise. You waive any and all moral rights you may have in the Feedback in favour of us.

13. We May Change these Terms at Any Time. We may change these Terms at any time. We will post changes to the Terms and indicate the effective date of the changes on www./to-our-customers or by other means. The date of the most recent change to these Terms is shown at the top of these Terms. Your continued use of the Payment Card in the Wallet will be taken as your acknowledgement and agreement to be bound by changes to these Terms. 14. Terms Drawn Up in English. It is the express wish of the parties that these Terms and any directly or indirectly related documents be drawn up in English. The terms of the agreements that you entered into or may enter into with TD Insurance for a particular product or service, as such agreements are amended or replaced from time to time (the “TDI Agreements”) apply to your use of the Application. These Terms are in addition to and do not in any way amend or replace the TDI Agreements that apply to your particular product or service, unless we have specifically advised you in these Terms. Nothing in these Terms changes your responsibilities under the TDI Agreements. If there is a conflict between the terms of the TDI Agreements and these Terms, these Terms will apply but only to the extent of the conflict.

CARE AND CONTROL OF YOUR MOBILE DEVICE, TD INSURANCE MOBILE APPLICATION AND USER INFORMATION

  1. You are responsible for the care and control of your Mobile Device and if applicable, password, passcode and verification questions and answers (“User Information”). You must take reasonable steps to safeguard and protect your Mobile Device and User Information.
    You must:

    • keep possession of the Mobile Device;

    • keep a lock screen or passcode lock (each a “Device Lock”) on your Mobile Device at all times;

    • keep your User Information separate from the Mobile Device;

    • keep your User Information strictly confidential and not share it with anyone;

    • take all reasonable precautions to ensure that no one finds out your User Information, including while you key in User Information on your Mobile Device;

    • avoid User Information and Device Locks that may be easily determined by others, such as birthdays, phone numbers, age, social insurance number, etc.; and

    • ensure that each password or other identifier is unique.

DISPOSING OF YOUR MOBILE DEVICE

  1. Before you sell, give away, or dispose of your Mobile Device or SIM Card, you must ensure that all personal information stored in the Application is deleted.

RESPONSIBILITY FOR YOUR MOBILE DEVICE AND TO YOUR MOBILE DEVICE PROVIDER

  1. You are solely responsible for: (i) acquiring any hardware, device, wireless or Internet access required for you to use the Application; and (ii) any fees or other charges imposed by your Mobile Device provider, wireless services carrier or Internet service provider. It is your responsibility to determine if your Mobile Device provider, wireless services carrier or Internet service provider supports the Application or if your Mobile Device is capable of accessing the Internet.

  1. You acknowledge that these Terms are between you and TD Insurance and not with the app store provider (i.e. Research In Motion E-Commerce Inc. (Blackberry), Google Inc. or Apple Inc.). You agree that the app store provider: (a) is not liable to you in any way whatsoever for the distribution, use, performance or non-performance of the Application; (b) has no obligation whatsoever to furnish any maintenance and support services to you with respect to the Application; (c) is not responsible for addressing any claims you may have relating to the Application or your possession or use of the Application; (d) is not responsible for any third party claims that the Application or your possession or use of the Application infringes that third party’s intellectual property rights; and (e) is a third party beneficiary to these Terms solely in respect of this Section 6.

INSTALLING AND USING MODIFICATIONS TO THE APPLICATION

  1. If we upgrade, update or modify the Application (including bug fixes, patches and new versions provided to you, the “Modifications”), you may be required to promptly install and use the Modifications in order for you to be able to continue to access and use the Application. TD Insurance may provide you with prior notice of the Modifications. However, if the Modifications are for the proper functioning of the Application, or safety or security of the Application or any systems or networks, TD Insurance may not provide you with prior notice. TD insurance is under no obligation to make Modifications.

  1. You are granted a limited, revocable, non-transferable, non-exclusive license to use the Application on a Mobile Device that you own or control. TD Insurance can terminate this license at any time and with or without any reason. The Application is licensed, not sold, to you. You must not rent, lease, lend, sell, redistribute or sublicense the Application. You agree that TD Insurance retains all right, title and interest in and to the Application including copies and portions of it. You may not decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of, the Application or any part of it. You may not use the Application for any purpose that is illegal, fraudulent or infringes another person’s rights. You agree to comply with any other requirements, restrictions or limitations provided by TD Insurance upon notice to you. You further agree to comply with any requirements, restrictions or limitations provided by a third party (including the app store provider, your Mobile Device provider or your wireless services carrier) relating to your use of the Application.

SUBMISSIONS

  1. If you want to submit ideas, suggestions or materials to TD Insurance regarding the Application (or any other particular product or service offered by TD Insurance (“Submissions”), through any means whatsoever, you grant to TD Insurance and its contractors and third party service providers an unrestricted, irrevocable, transferable, non-exclusive, perpetual, worldwide license to use, copy, sell, disclose or publish the Submissions for any purpose whatsoever (including developing and marketing products, services or content using the Submissions), and without any requirement for us to provide you with any credit, notice, approval or compensation for any such use. You waive your moral rights in the Submissions.

POSSIBLE EFFECTS OF INSTALLATION, REMOVAL OR USAGE OF THE APPLICATION AND DISCLAIMER OF DAMAGES AND WARRANTY

BY USING THE APPLICATION ON YOUR MOBILE DEVICE, IT IS POSSIBLE THAT THE WARRANTIES COVERING YOUR MOBILE DEVICE ARE VOIDED, THAT YOUR MOBILE DEVICE MAY BE DAMAGED, THAT DATA STORED IN YOUR MOBILE DEVICE MAY BE CORRUPTED, AND THAT YOU OR YOUR PROPERTY MAY BE DAMAGED. YOU AGREE THAT YOUR USE OF OR INABILITY TO USE THE APPLICATION IS AT YOUR SOLE RISK. For the purposes of the Application, TD Insurance will collect information you provide to us including, IP address, geolocation (if enabled on your device), photos you selected in your mobile device photo gallery Photos (if enabled on your device) and other information arising from your use of the Application (collectively called “Mobile Data”).

M.  TD MYADVANTAGE™ MOBILE APPLICATION TERMS AND CONDITIONS (Trial)


It is important that you read and understand these terms and conditions, including any amendments (the 'Terms'). By clicking the 'I agree' button in the trial version of the TD MyAdvantage™ Mobile Application (the 'App'), you will be deemed to have read and agreed to these Terms and to be bound by them and will be able to start using the App. If you do not agree with these Terms, you must not use the App. These Terms will apply every time you use the App.

To review information regarding your consent to TDI Privacy Terms, please see Section 3 herein.

  1. CERTAIN DEFINITIONS.

    'Data' means any and all data and information collected on or by the App, including your personal information.

    'Participating Driver(s)' means any person who has downloaded the App on his/her mobile device and has agreed to these Terms.

    'Program' means the TD MyAdvantage™ Mobile Application Program.

    means the period during which a Participating Driver may use the App for trial purposes up to thirty (30) days, unless that Participating Driver enrolls in the Program or if the use of the App is terminated in accordance with these Terms.

    'Trip' means any trip recorded by the App resulting from the operation of any automobile by a Participating Driver.

    'TD Insurance', 'TDI', 'we' and 'us' refer to Meloche Monnex Inc, a company which is a subsidiary of The Toronto-Dominion Bank and member of TD Bank Group.

    'You' and 'your' refer to the Participating Driver hereby agreeing to these Terms.

  2. INFORMATION ABOUT THE PROGRAM.

    The App enables the collection of Data which will be used to analyze your driving behaviour, to provide driving scores, and to determine automobile insurance premium discounts that you could potentially receive if you were to enroll in the Program as a TDI client, as described in these Terms.

    Important note: Data collected during the Trial Period will be reset when you enroll as a TDI client and will not be used in the calculation of your potential premium discounts. You may review the Terms by visiting the main menu on the App, and selecting 'Privacy, Security & Legal' then navigating to the 'Legal' subsection.

    The use of the App is completely voluntary and allows you to download and use the App on your mobile device, which will collect Data that will be analyzed together with additional information as set out in Section 3 (Privacy) in order to provide a driving score. The use of the App will allow you to see what savings you could potentially receive on your insurance renewal premium if you were to enroll in the Program as a TDI client based in part on the way you drive.

    You can track your driving behaviour on the App for a Trial Period of up to thirty (30) days. At any time during the Trial Period, you may choose to enroll in the Program by using the 'Ready to Activate' button in the Welcome Menu or by calling us at 1-866-223-1030. Some conditions apply to be eligible to enroll in the Program.

    We reserve the right to modify these Terms at any time. If we modify these Terms, we will provide notice of the modifications to you within the App and will request your agreement with these modified Terms. In order to use the App, you will be required to accept the modified Terms. If you do not consent to the modified Terms, your access to the App will be disabled.

    You must immediately cease using the App and delete the App from your mobile device if you do not agree with the Terms, as modified. Continued use of the App, after you have accepted any modified Terms communicated to you by TDI, constitutes acceptance of the Terms, as modified, from the date you have accepted those modified Terms.

    You can terminate your use of the App at any time by uninstalling the App, in accordance with Section 4.4. We may suspend, cancel or block your access to, or use of, the App at our sole discretion, to the extent permitted by law, without liability to you.

  3. PRIVACY

    Protecting your Privacy

    At TD Insurance, protecting your privacy and the confidentiality of your personal information is a fundamental part of our business. We have a number of security measures and standards in place to safeguard your information.

    It is important that you read and understand Section 3 of these Terms and TD Mobile Apps Privacy Code and TD Insurance, General Insurance Privacy Agreement (collectively, the 'Privacy Terms') provided herein as these Privacy Terms, as amended from time to time, will apply each time you use the App.

    By accepting these Terms and any subsequent amendments thereto communicated to you by TD Insurance in accordance with Section 2 herein, you are deemed to have read and agreed to the Privacy Terms, and to have consented to the collection, use and disclosure of your Data as described hereunder.

    Please see TD Mobile Apps Privacy Code and TD Insurance, General Insurance Privacy Agreement available at https://www./privacy-and-security/privacy-and-security/our-privacy-commitments/privacy-commitment.jsp for more information about how we handle the information we obtain from you.

    3.1 Collecting your Data

    The App will collect the following Data with respect to each Trip and use of the App:

    The App will collect Data (e.g. your location) whenever your mobile device is turned on and identifies a Trip, regardless of the automobile that the Participating Driver is operating at the time the Data is collected.

    The App will also collect all Data that identifies a movement with the mobile device, including when you walk. You may correct inaccurate Data in accordance with Section 6.3 (Correcting your Data) provided herein.

    The App collects and securely transmits wirelessly your Data to TD Insurance. Once the Data is collected, the App analyzes the Data at the end of each Trip in order to determine your driving score. Your Data may be transferred to a third party for processing purposes in order to complete the analysis of your Data. Your driving score is then securely transmitted to us and to you with your driving score for each Trip as well as your average driving score and projected Program discount.

    3.2 Using and Sharing your Data

    The Data will be processed by the App to create individual driving scores that reflect your driving habits. The purpose of the driving scores is to determine the Program discounts that you could potentially receive if you were to enroll in the Program as a TDI client, if any.

    We may use your email address for purposes of authenticating you, resolving issues related to the App and send to you an email with an activation code if you decide to enroll in the Program.

    3.3 Storage of Data

    Your personal information will be stored with TDI in accordance with our Privacy Terms and may be shared, stored or accessed in Canada or other jurisdictions as permitted by law. Your personal information may also be accessed, used, and disclosed for regulatory purposes, in response to valid demands or requests from governments, regulators, courts and law enforcement authorities in those jurisdictions or countries or as otherwise required by law.

    Your Data, including your personal information, will be stored with TDI for a period up to 90 days after the Trial Period expires. This Data will be stored for analytics purposes and to better improve the App. TDI may also retain de-identified, non-personal information it collects from you and other Participating Drivers for the same purposes.

    3.4 How your Data Will Not Be Used

    We will not use your Data:

    Your driving behaviour, as determined by the App, is one of many factors used to calculate the insurance policy premium discount that you could potentially receive if you were to enroll in the Program as a TDI client. Other factors can still impact the overall premium, including chargeable accident or traffic convictions that may occur during the term of your insurance policy.

    3.5 Sharing your Data on Social Networking Services

    The App may allow you to share your Data on social networking services. When you use the App to share your Data on a social networking service, any Data and content you share will be visible to other users and can be read, collected, or used by them. You are solely responsible for any disclosure of any Data, content or information you choose to share or submit in these instances. Please take care when using these features to prevent unwanted disclosure of Data or other information.

    • to change the premium attributable to you during the current term of your insurance policy, except as otherwise stated in these Terms, if you are a TDI client;

    • to cancel your insurance policy, if you are a TDI client;

    • to refuse to renew your insurance policy, if you are a TDI client;

    • for claims handling purposes;

    • for marketing purposes;

    • to increase your insurance policy premium on renewal, if you are a TDI client);

    • to confirm rating criteria currently used; or

    • to your prejudice regarding an insurance claim you have with us or in any claim that is brought against you.

    • The email address provided by you in relation with your use of the App;

    • GPS data (location information);

    • Distance travelled for each Trip;

    • Acceleration, speeding, braking, cornering data derived from GPS or accelerometer data;

    • Time of day;

    • Confirmation of when the App is being turned on and off;

    • Mobile device ID;

    • Total Mileage for all Trips;

    • Battery level and charging status;

    • Bluetooth and Wi-Fi connection information;

    • Internet connectivity (Cellular or Wi-Fi).

  4. YOUR USAGE OF THE APP

    4.1 Usage of the App

    Each Participating Driver must meet the requirements set out in Section 4.2 (Eligibility Requirements for Participation) at all times during the Trial Period. TDI may suspend, cancel, block access to, or use of, the App if you fail to meet the Eligibility Requirements set out in Section 4.2 at any time during the Trial Period, without penalty and without notice to you.

    4.2 Eligibility Requirements for using the App

    In order to use the App, you must meet and maintain the following minimum eligibility requirements:

    You are not eligible for a Program discount on your insurance premium if you are using the App. To be eligible for a Program discount, you must enroll in the Program and meet the eligibility requirements applicable to all enrolled Participating Drivers.

    4.4 Termination

    You can terminate your use of the App at any time, by uninstalling the App. This will prevent further information from being collected and submitted to us. TDI may terminate your license to use the App pursuant to section 6.1 as a result of your non-compliance with Section 6.6 or in the event the Program is discontinued.

    Non-compliance with these Terms may result in termination of your use of the App by TDI. In addition to any termination rights in these Terms, TDI may suspend, cancel, block access to, or use of, the App at its sole discretion at any time without penalty and without notice to you.

    • your mobile device must be an Android or iPhone smartphone device and the operating system ('the OS') of your mobile device should be supported by one of the last 3 major OS versions available.

    • if your mobile device is an Android, you must install on your device Google Play Services and install the latest version of the application when an update becomes available;

    • you must have a data plan with your current mobile carrier for the applicable mobile device (the App may use some of your phone's data capacity);

    • you have provided a valid email address; and

    • you have downloaded the App and agreed to these Terms, and have accepted any amendments to the Terms in accordance with Section 2 herein.

  5. DISCOUNTS

    5.1 Applicability of the Program Discounts

    The App will determine automobile insurance premium discounts attributable to you that you could potentially receive if you were to enroll in the Program as a TDI client. Program discounts provided to you as part of your use of the App will not be applicable to you and cannot be applied to your insurance policy. All Data collected during the Trial Period will be reset when you enroll as a TDI client in the Program and will not be used in the calculation of your potential premium discounts.

    5.2 Driving Score

    The Data as identified in Section 3 above will be used to generate a driving score that is used to calculate the appropriate Program discount attributable to you if you were to enroll in the Program as a TDI client. The driving score will be based on your driving behaviour namely the following factors: speeding, cornering, accelerating, braking and time of day.

    The Data is collected for you for every Trip, whether or not the automobile you are driving is covered under your insurance policy.

    You will receive your driving score via the App after each Trip. In addition, you can access through the App your average driving score and projected Program discount. The projected Program discount is a projection only and may not be representative of the Program discount applicable or that there will be a Program discount applied if you were to enroll in the Program as a TDI client.

    5.3 Disclaimer of Performance

    THIS DATA COLLECTED FOR YOU FOR EVERY TRIP IS SUBJECT TO THE PERFORMANCE OF THE SYSTEM OF YOUR MOBILE DEVICE AND MAY VARY DEPENDING ON YOUR MOBILE DEVICE INCLUDING THE PLATFORM USED, UPDATE TO THE OPERATING SYSTEM, THE DATA COLLECTED AND THE CIRCUMSTANCES OF USE OF YOUR MOBILE DEVICE. FOR A SIMILAR TRIP, EACH PHONE MAY GENERATE DIFFERENT DATA AND PERFORM DIFFERENTLY, WHICH MAY IMPACT THE DRIVING SCORE GENERATED WITH THE DATA, TOGETHER WITH ADDITIONAL INFORMATION IDENTIFIED IN SECTION 3. TDI, AND EACH OF OUR AFFILIATES, GIVE NO REPRESENTATIONS, WARRANTIES, GUARANTEES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR COLLATERAL, OR ARISING FROM STATUTE, COURSE OF DEALING, OR USAGE OF TRADE, WITH RESPECT TO THE PERFORMANCE OF YOUR MOBILE PHONE AND THE DATA GENERATED BY YOUR MOBILE PHONE.

  6. USE OF THE APP

    6.1 License

    Provided you comply with these Terms, TD Insurance grants you a revocable, limited, non-transferrable, non-exclusive, personal license to use the App on any mobile device that you own or control and that satisfies the requirements set out in Section 4.2. TD Insurance has the rights to grant you this license to use the App and also has the right to terminate this license at any time, in accordance with these Terms. Any use of the App must also be in accordance with the applicable usage rules set forth in the Apple App Store Terms and Conditions or the Google Play Terms of Service, whichever is applicable.

    6.2 Your Responsibilities

    Once the App is installed and activated, you must have with you your mobile device on which the App is installed whenever operating any automobile (whether or not the automobile is insured under your insurance policy). You must not disable or shutdown the App or the mobile device, so that the App can detect and record when you start a Trip. It is your responsibility to ensure that your mobile device's location services function is activated for the App and that your device has sufficient battery life for the App to work properly. If you have enabled biometric authentication on your phone such as Touch ID, all of the individuals whose biometrics are stored on the device will be able to access the App.

    6.3 Correcting your Data

    You must periodically check your App and exclude trips that the App has incorrectly determined to be Trips, such as trips where you were a passenger and not driving an automobile. You must make any correction within 14 days of a Trip, or that Trip will be deemed attributable to you.

    6.4 App Modifications

    If we upgrade, update or modify the App (including bug fixes, patches and new versions provided to you, the “Modifications”), you may be required to promptly install and use the Modifications in order for you to be able to continue to access and use the App. TD Insurance may provide you with prior notice of the Modifications. However, if the Modifications are for the proper functioning of the App, or safety or security of the App or any systems or networks, then you may not receive prior notice of such Modifications. TD Insurance is not under any obligation to make Modifications.

    6.5 Proprietary Rights

    The App is licensed, not sold, to you. The App, including all text, graphics, user and visual interfaces, trade-marks, logos, computer code, documentation and other content (collectively, the 'Content'), is the exclusive property of its lawful owner and is protected by copyright, trade-mark and other intellectual property laws. TDI also owns the Data gathered by the App, other than your personal information.

    6.6 License Restrictions

    Except as expressly provided in these Terms, no part of the App or Content may be copied, reproduced, sold, rented, leased, lent, redistributed, sublicensed, republished, reposted or otherwise distributed for public or commercial use. You may not decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of, the App or any part of it. You may not use the App for any purpose that is illegal, fraudulent or infringes another person’s rights. You agree to comply with any other requirements, restrictions or limitations provided by TD Insurance upon notice to you. You further agree to comply with any requirements, restrictions or limitations provided by a third party (including the app store provider, your mobile device provider or your wireless services carrier) relating to your use of the App.

    6.7 Cellular or Wireless Service

    The App transmits Data via your wireless carrier or accessible Wi-Fi network. TDI is not responsible or liable for any charges and expenses associated with the use of the App or any other applications. The availability of the App may occasionally be restricted, interrupted or discontinued due to conditions such as, but not limited to: application design, network coverage, government regulation, or other situations beyond our control.

    6.8 Disclaimer of Warranty

    THIS APP IS PROVIDED 'AS-IS,' 'WITH ALL FAULTS,' AND 'AS AVAILABLE.' TDI, AND EACH OF OUR AFFILIATES, GIVES NO REPRESENTATIONS, WARRANTIES, GUARANTEES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR COLLATERAL, OR ARISING FROM STATUTE, COURSE OF DEALING, OR USAGE OF TRADE, INCLUDING, BUT NOT LIMITED TO, IMPLIED REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, QUALITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. TDI DOES NOT WARRANT THAT THE FUNCTIONALITY OR OPERATION OF THE APP WILL BE SECURE, UNINTERRUPTED OR FREE FROM ERROR, THAT ANY DEFECTS IN THE APP WILL BE CORRECTED, OR THAT THE APP OR THE SERVER(S) THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL CONDITIONS OR COMPONENTS. BY USING THE APP ON YOUR MOBILE DEVICE, IT IS POSSIBLE THAT THE WARRANTIES COVERING YOUR MOBILE DEVICE ARE VOIDED, THAT YOUR MOBILE DEVICE MAY BE DAMAGED, THAT DATA STORED IN YOUR MOBILE DEVICE MAY BE CORRUPTED, AND THAT YOUR PROPERTY MAY BE DAMAGED. YOU AGREE THAT YOUR USE OF OR INABILITY TO USE THE APP IS AT YOUR SOLE RISK.

    6.9 Limitation of Liability

    YOU AGREE THAT TO THE EXTENT NOT PROHIBITED BY LAW, TD INSURANCE AND ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS AND SUBCONTRACTORS DISCLAIM ALL LIABILITY, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, FOR DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE AND EXEMPLARY DAMAGES, AND DAMAGES FOR LOSS OF PROFITS, REVENUE, OPPORTUNITY, LOSS OF DATA OR BUSINESS INTERRUPTION) IN ANY WAY ARISING FROM OR RELATING TO THE APP, YOUR USE OR INABILITY TO USE THE APP, AND/OR THESE TERMS, INCLUDING INTERRUPTIONS OF SERVICE OR DELAY IN OPERATION OR TRANSMISSION, AND/OR ARISING FROM THIRD PARTY ACCESS TO PERSONAL INFORMATION INPUT IN THE APP, EVEN IF TDI HAS EXPRESS KNOWLEDGE OF THE POSSIBILITY OF SUCH DAMAGES. TDI WILL NOT HAVE ANY RESPONSIBILITY OR LIABILITY FOR THE SECURITY OF YOUR MOBILE DEVICE OR FOR ANY DAMAGE CAUSED TO YOUR MOBILE DEVICE ARISING FROM USE OF THE APP. YOU AGREE NOT TO SEEK TO RECOVER ANY DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, OPPORTUNITY, LOSS OF DATA OR BUSINESS INTERRUPTION) FROM TDI.

    6.10 Compliance with Laws

    You agree to comply with all applicable laws and regulations of Canada and other countries ('Laws') when using the App. You will ensure that the App is not (1) exported, directly or indirectly, in violation of any Law, or (2) used for any purpose prohibited by any Law, including, without limitation, nuclear, chemical, or biological weapons proliferation. You further agree that you will not use the App for any purpose prohibited under any Law.

    6.11 Submissions

    If you want to submit ideas, suggestions or materials ('Submissions'), to TD Insurance regarding the App (or any other particular product or service offered by TD Insurance) through any means whatsoever, you grant to TD Insurance and its contractors and third party service providers an unrestricted, irrevocable, transferable, non-exclusive, perpetual, worldwide license to use, copy, sell, disclose or publish the Submissions for any purpose whatsoever (including developing and marketing products, services or content using the Submissions), and without any requirement for us to provide you with any credit, notice, approval or compensation for any such use. You waive your moral rights in the Submissions.

  7. RESPONSIBILITY FOR YOUR MOBILE DEVICE

    You are responsible for the care and control of your mobile device and if applicable, password, passcode and verification questions and answers ('User Information'). You must take reasonable steps to safeguard and protect your mobile device and User Information.

    You must:

    Before you sell, give away, or dispose of your mobile device or SIM card, you must ensure that all personal information stored in the App is deleted.

    You are solely responsible for: (i) acquiring any hardware, device, wireless, Internet access and data plan required for you to use the App; and (ii) any fees or other charges imposed by your mobile device provider, wireless services carrier or Internet service provider. It is your responsibility to determine if your mobile device provider, wireless services carrier or Internet service provider supports the App or if your mobile device is capable of accessing the Internet.

    You acknowledge that these Terms are between you and TD Insurance and not with the app store provider (i.e. Google Inc. or Apple Inc.). You agree that the app store provider: (a) is not liable to you in any way whatsoever for the distribution, use, performance or non-performance of the App; (b) has no obligation whatsoever to furnish any maintenance and support services to you with respect to the App; (c) is not responsible for addressing any claims you may have relating to the App or your possession or use of the App; (d) is not responsible for any third party claims that the App or your possession or use of the App infringes that third party’s intellectual property rights; and (e) is a third party beneficiary to these Terms solely in respect of this paragraph.

    • keep possession of your mobile device;

    • keep a lock screen or passcode lock (each a “Device Lock”) on your mobile device at all times;

    • keep your User Information separate from the mobile device;

    • keep your User Information strictly confidential and not share it with anyone;

    • take all reasonable precautions to ensure that no one finds out your User Information, including while you key in User Information on your mobile device;

    • avoid User Information and Device Locks that may be easily determined by others, such as birthdays, phone numbers, age, social insurance number, etc.; and

    • ensure that each password or other identifier is unique.

  9. CONSENT/AGREEMENT

    By downloading and using the App, you agree and consent:

    1. to comply with the Terms described above, as they apply to you;

    2. to the collection, use and disclosure of your personal information, including your Data as set out in these Terms;

    3. to the retention of your personal information, including your Data as set out in these Terms; and

    4. that your non-compliance with these Terms may result in termination of your use of the App.

  10. APPLICABLE LAW & LANGUAGE

    These Terms are governed by the laws of the Province of Ontario exclusive of conflict of law provisions and you attorn to the jurisdiction of the courts of the Province of Ontario with respect to any proceedings arising from these Terms. These Terms are not governed by the United Nations Convention on Contracts for the International Sale of Goods. It is the express wish of the parties that these Terms and any directly or indirectly related documents be drawn up in English. N.   TD MYADVANTAGE™ MOBILE APPLICATION TERMS AND CONDITIONS (Registered Driver)

It is important that you read and understand these terms and conditions, including any amendments (the 'Terms'). By clicking the 'I agree' button in the TD MyAdvantage™ Mobile Application (the 'App'), you will activate the App and will be deemed to have read and agreed to these Terms and to be bound by them. If you do not agree with these Terms, you must not activate or use the App. These Terms will apply every time you use the App.

To review information regarding your consent to TDI Privacy Terms, please see Section 3 herein.

  1. CERTAIN DEFINITIONS:

    'Data' means any and all data and information collected on or by the App, including your personal information.

    'Insured Person(s)' means the Named Insured(s) and the listed driver(s) on the Policy for whom a pemium is charged.

    'Named Insured(s)' means the person(s) who are the registered owner(s) or the lessee(s) of the described automobile(s) on the Policy.

    An Insured Person's 'Enrollment Date' means the date a Named Insured calls TDI and confirms the intended participation of the Insured Persons in the Program.

    'Participating Driver(s)' means any Insured Person who has downloaded and activated the App on his/her mobile device within 15 days from the Enrollment Date.

    'Policy' means the automobile insurance policy between TDI and the Named Insured(s) to which this document is attached.

    'Program' means the TD MyAdvantage™ Mobile Application Program.

    'Trip' means any trip recorded by the App resulting from the operation of any automobile (whether or not insured under the Policy) by a Participating Driver.

    'TD Insurance', 'TDI', 'we' and 'us' refer to whichever one of the following companies is your insurer under the Policy to which these Terms apply:

    All of these companies are subsidiaries of The Toronto-Dominion Bank and members of TD Bank Group.

    'You' and 'your' refer to every Participating Driver and every Insured Person identified by a Named Insured as a participant in the Program.

    • Security National Insurance Company

    • Primmum Insurance Company, and

    • TD General Insurance Company

  2. INFORMATION ABOUT THE PROGRAM

    The App enables the collection of Data which will be used to analyze your driving behavior, to provide driving scores, and to determine automobile insurance premium discounts attributable to you and other Participating Drivers as described in these Terms.

    The Program is completely voluntary and allows you to download and use the App on your mobile device, which will collect Data that will be analyzed together with additional information as set out in Section 3 (Privacy) in order to provide a driving score which may entitle the Named Insured(s) to a Policy premium discount based on the driving score, subject to these Terms.

    Your eligibility to participate in the Program is subject to the requirements set out in Section 4.2 (Eligibility Requirements for Participation) below and is expressly conditioned on your acceptance of these Terms. You may review the Terms by visiting the main menu on the App, and selecting 'Privacy, Security & Legal' then navigating to the 'Legal' subsection.

    We reserve the right to modify these Terms at any time. If we modify these Terms, we will provide notice of the modifications to you within the App and will request your agreement with these modified Terms. In order to use the App, you will be required to accept the modified Terms. If you do not consent to the modified Terms, your access to the App will be disabled and your participation may be terminated in accordance with Section 4.4 herein if you do not agree with the modified Terms within the required timeframe.

    If you or the Named Insured(s) do not agree with any part of the modified Terms, or if you want to opt out of the Program for any other reason, you or the Named Insured(s) may opt-out of the Program by following the procedure described in Section 4.4 (Terminating Your Participation) and the Program discount, if any, which was earned in connection with your driving will be removed accordingly. You must immediately cease using the App and delete the App from your mobile device if you do not agree with the Terms, as modified. Deleting the App means that you are no longer eligible for the Program, in accordance with Section 4 herein. Continued use of the App, after you have accepted any modified Terms communicated to you by TDI, constitutes acceptance of the Terms, as modified, from the date you have accepted those modified Terms.

    We may terminate the Program and/or suspend, cancel or block your access to, or use of, the App at our sole discretion, to the extent permitted by law, without liability to you. We will provide the Named Insured(s) with notice in advance of such termination as required by law.

  3. PRIVACY

    Protecting your Privacy

    At TD Insurance, protecting your privacy and the confidentiality of your personal information is a fundamental part of our business. We have a number of security measures and standards in place to safeguard your information.

    It is important that you read and understand Section 3 of these Terms and TD Mobile Apps Privacy Code and TD Insurance, General Insurance Privacy Agreement (collectively, the 'Privacy Terms') provided herein as these Privacy Terms, as amended from time to time, will apply each time you use the App.

    By accepting these Terms and any subsequent amendments thereto communicated to you by TD Insurance in accordance with Section 2 herein, you are deemed to have read and agreed to the Privacy Terms, and to have consented to the collection, use and disclosure of your Data as described hereunder.

    Please see TD Mobile Apps Privacy Code and TD Insurance, General Insurance Privacy Agreement available at https://www./privacy-and-security/privacy-and-security/our-privacy-commitments/privacy-commitment.jsp for more information about how we handle the information we obtain from you.

    3.1 Collecting your Data

    The App will collect the following Data with respect to each Trip and use of the App:

    The App will collect Data (e.g. your location) whenever your mobile device is turned on and identifies a Trip, regardless of the automobile that the Participating Driver is operating at the time the Data is collected.

    The App will also collect all Data that identifies a movement with the mobile device, including when you walk. Once the App can accurately identify your Trips, Data not associated with a Trip will not generate a driving score and will not be used to calculate the Program discount. It will only be used for the purpose of improving the accuracy of the App. You may also correct inaccurate Data in accordance with Section 6.3 (Correcting your Data) provided herein.

    The App collects and securely transmits wirelessly your Data to TD Insurance. Once the Data is collected, the App analyzes the Data at the end of each Trip in order to determine your driving score. Your Data may be transferred to a third party for processing purposes in order to complete the analysis of your Data. Your driving score is then securely transmitted to us and to you with your driving score for each Trip as well as your average driving score and projected Program discount.

    3.2 Using and Sharing your Data

    The Data will be processed by the App to create individual driving scores that reflect your driving habits. The purpose of the driving scores is to determine the Program discounts, if any, attributable to you and every other Participating Driver.

    We may request the following information for the purposes of authenticating you, enrolling you in the Program or performing certain services related to the Program:

    3.3 Storage of Data

    Your personal information will be stored with TDI in accordance with our Privacy Terms and may be shared, stored or accessed in Canada or other jurisdictions as permitted by law. Your personal information may also be accessed, used, and disclosed for regulatory purposes, in response to valid demands or requests from governments, regulators, courts and law enforcement authorities in those jurisdictions or countries or as otherwise required by law.

    TDI may also retain de-identified, non-personal information it collects from you and other Participating Drivers for analytics purposes and to better improve the App.

    3.4 How your Data Will Not Be Used

    We will not use your Data:

    Your driving behavior, as determined by the App, is one of many factors used to calculate the Policy premium attributable to you. Other factors can still impact the overall premium, including chargeable accident or traffic convictions that may occur during the term of the Policy.

    You can terminate your participation in the Program at any time as indicated in Section 4.4(Terminating your Participation in the Program).

    3.5 Sharing your Data on Social Networking Services

    The App may allow you to share your Data on social networking services. When you use the App to share your Data on a social networking service, any Data and content you share will be visible to other users and can be read, collected, or used by them. You are solely responsible for any disclosure of any Data, content or information you choose to share or submit in these instances. Please take care when using these features to prevent unwanted disclosure of Data or other information.

    • to change the premium attributable to you during the current term of the Policy, except as otherwise stated in these Terms;

    • to cancel the Policy;

    • to refuse to renew the Policy;

    • for claims handling purposes;

    • for marketing purposes;

    • to increase the Policy premium on renewal (except for changes or removal of the Program discount in accordance with these Terms);

    • to confirm rating criteria currently used; or

    • to your prejudice regarding an insurance claim you have with us or in any claim that is brought against you.

    • Your first and last name;

    • Your email address;

    • Your unique Driver ID;

    • Your Enrollment Date;

    • Your mobile phone number;

    • Your Province and/or postal code;

    • Your insurer.

    • Information you and any Named Insured provide us under the Program;

    • GPS data (location information);

    • Distance travelled for each Trip;

    • Acceleration, speeding, braking, cornering data derived from GPS or accelerometer data;

    • Time of day;

    • Confirmation of when the App is being turned on and off;

    • Mobile device ID;

    • Total Mileage for all Trips;

    • Battery level and charging status;

    • Bluetooth and Wi-Fi connection information;

    • Internet connectivity (Cellular or Wi-Fi).

  4. YOUR PARTICIPATION IN THE PROGRAM

    4.1 Participation of Insured persons in the Program

    To participate in the Program, a Named Insured must first call us at 1-866-223-1030 and ask to participate in the Program, and identify the other Insured Persons who are going to participate in the Program. A Named Insured may call at any time to add additional Insured Persons under the Program. Thereafter, each Insured Person identified by the Named Insured as a participant may participate in the Program by downloading and activating the App on their compatible mobile device within 15 days from their Enrollment Date. If an Insured Person fails to activate the App in the required timeframe, a Named Insured will need to contact us again to confirm the participation of the Insured Person and such confirmation will be the new Enrollment Date applicable to the Insured Person. Each Participating Driver must meet the requirements set out in Section 4.2 (Eligibility Requirements for Participation) at all times during the Program. Failure to meet the Eligibility Requirements for Participation set out in Section 4.2 at any time may result in removal of the Participating Driver from the Program.

    Only Insured Persons identified by a Named Insured as participants will be authorized to activate the App. Each Insured Person will be required to enter their e-mail address, a pin and the activation code provided by TDI d to complete the activation of the App.

    4.2 Eligibility Requirements for Participation

    In order to participate and maintain your eligibility to participate in the Program, you must meet and maintain the following minimum eligibility requirements:

    4.3 Eligibility Requirements for the Program Discount

    At any time, for the Policy to benefit on the date of the next Policy renewal from a potential automobile insurance discount based on your driving score under the Program, it is required that:

    If you do not meet these conditions, the Policy will not be eligible for any Program discount that might otherwise apply by reason of your driving score on the date of the next Policy renewal. In addition, if your Program participation has been terminated, any Program discount will be removed in accordance with Section 4.4.

    4.4 Terminating your Participation

    You may terminate your participation in the Program at any time by calling us at 1-866-223-1030. If your participation in the Program is terminated for any reason (whether by you, by us, or otherwise in accordance with these Terms) or if the Program is terminated, you must immediately cease using the App and delete the App from your mobile device. In the event a Named Insured calls us to end the participation of all Insured Persons in the Program, then all Participating Drivers must cease using the App and delete the App from their mobile devices. The date that you or the Named Insured notifies us of intent not to participate in the Program will be the effective date of termination.

    In the event the App has been disabled, closed or deleted from your mobile device for a period of more than 65 consecutive days, TD Insurance will consider you inactive and will terminate your participation in the Program. We may also terminate your participation, or that of any or all other Participating Drivers', in the Program at any time, including in the event of noncompliance with these Terms by you or another Participating Driver. In addition, in the event there are inconsistencies or behavior patterns that would suggest that your reported Trips are not representative of your actual driving behavior, as determined by TDI in its sole discretion, we will inform you of the situation and ask that the situation be remedied. If the issues are not resolved to TDI's satisfaction, we may provide you with 30 days' prior written notice after which we may immediately terminate your participation in the Program.

    All Participating Drivers’ participation in the Program will automatically end in the event the Policy is cancelled, terminated or otherwise not renewed.

    If your participation in the Program is terminated either by you or us, or if we terminate the Program, we will remove any current Program discount otherwise attributable to each terminated Participating Driver as of the effective date of termination and the Policy premium will be adjusted accordingly. Except where we terminate your license to use the App pursuant to Section 6.1 as a result of your non-compliance with Section 6.6 or where the Program is no longer available, in the event that you decide to re-instate your participation in the Program within 90 days of the effective date of termination of your participation in the Program, whether your participation is terminated by you or us, you will benefit from the same Program discount applicable to you under your Policy prior to termination. Your removal from the Program will not impact any other terms of the Policy; only the Program discounts (if any) will be removed.

    • you have installed and activated the App at least 120 days before the Policy renewal documents are processed by TD Insurance. Policy renewal documents are processed approximately 60 days in advance of the renewal date of the Policy;

    • you have recorded a minimum of 1,000 km on the App prior to the Policy renewal documents being processed by TD Insurance (based on most recent data available at renewal processing); and

    • your participation in the Program has not been terminated in accordance with Section 4.4.

    • your mobile device must be an Android or iPhone smartphone device and the operating system ('the OS') of your mobile device should be supported by one of the last 3 major OS versions available.

    • if your mobile device is an Android; you must install on your device Google Play Services and install the latest version of the application when an update becomes available;

    • you must have a data plan with your current mobile carrier for the applicable mobile device (the App may use some of your phone's data capacity);

    • you have provided a valid email address;

    • you have activated the App by agreeing to these Terms, and have accepted any amendments to the Terms in accordance with Section 2 herein; and

    • your participation in the Program has not been terminated in accordance with Section 4.4 herein.

  5. DISCOUNTS

    5.1 Applicability of the Program Discounts

    The Program discount attributable to you is calculated based on your driving score derived from your Data and is applied to the portion of the premium attributable to you for the following coverages: bodily injury, property damage, accident benefits, uninsured automobile, direct compensation – property damage, all perils, collision, comprehensive, specified perils and OPCF 44R.

    An initial discount will automatically be attributed to you when a Named Insured identifies you as wanting to become a Participating Driver. Unless your Enrollment Date is less than 120 days from the date the Policy renewal documents are processed by TDI, the initial discount will be removed at the first Policy renewal date following your Enrollment Date.

    If your Enrollment Date is within 120 days from the date the renewal Policy documents are processed by TDI, the initial discount will be removed as of the second Policy renewal date following your Enrollment Date.

    Once you meet the Eligibility Requirements for Program discount described in Section 4.3, the Program discount, if any, attributable to you will be applied at the next Policy renewal based on your driving score applicable at the time the renewal Policy documents are processed by TDI. In the event you do not meet the Eligibility Requirements for a Program Discount as described in Section 4.3 above on the effective date of the next Policy renewal, there will be no Program discount attributable to you. Any Program discount will be applicable only to the next Policy renewal term.

    5.2 Driving Score

    The Data as identified in Section 3 above will be used to generate a driving score that is used to calculate the appropriate Program discount attributable to you for the next Policy renewal. The driving score will be based on your driving behavior namely the following factors: speeding, cornering, accelerating, braking and time of day.

    The Data is collected for you for every Trip, whether or not the automobile you are driving is covered under the Policy. As a result, the amount of the Program discount is impacted by your driving behavior during the enrollment period in the Program. If your driving score does not justify a discount for you, there will be no discount attributable to you. The applicability of a Program discount will be confirmed in the Policy renewal documents sent to the Named insured(s).

    You will receive your driving score via the App after each Trip. In addition, you can access through the App your average driving score and projected Program discount. The projected Program discount is a projection only and may not be representative of the Program discount applicable when the Policy renews and therefore is not a guarantee of the Program discount to be applied or that there will be a Program discount applied. Future Trips and any non-compliance with these Terms may change the driving score and the applicability of a Program discount.

    5.3 Disclaimer of Performance

    THIS DATA COLLECTED FOR YOU FOR EVERY TRIP IS SUBJECT TO THE PERFORMANCE OF THE SYSTEM OF YOUR MOBILE DEVICE AND MAY VARY DEPENDING ON YOUR MOBILE DEVICE INCLUDING THE PLATFORM USED, UPDATE TO THE OPERATING SYSTEM, THE DATA COLLECTED AND THE CIRCUMSTANCES OF USE OF YOUR MOBILE DEVICE. FOR A SIMILAR TRIP, EACH PHONE MAY GENERATE DIFFERENT DATA AND PERFORM DIFFERENTLY, WHICH MAY IMPACT THE DRIVING SCORE GENERATED WITH THE DATA, TOGETHER WITH ADDITIONAL INFORMATION IDENTIFIED IN SECTION 3. TDI, AND EACH OF OUR AFFILIATES, GIVE NO REPRESENTATIONS, WARRANTIES, GUARANTEES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR COLLATERAL, OR ARISING FROM STATUTE, COURSE OF DEALING, OR USAGE OF TRADE, WITH RESPECT TO THE PERFORMANCE OF YOUR MOBILE PHONE AND THE DATA GENERATED BY YOUR MOBILE PHONE.

  6. USE OF THE APP

    6.1 License

    Provided you comply with these Terms, TD Insurance grants you a revocable, limited, nontransferrable, non-exclusive, personal license to use the App on any mobile device that you own or control and that satisfies the requirements set out in Section 4.2. TD Insurance has the rights to grant you this license to use the App and also has the right to terminate this license at any time, in accordance with these Terms. Any use of the App must also be in accordance with the applicable usage rules set forth in the Apple App Store Terms and Conditions or the Google Play Terms of Service, whichever is applicable.

    6.2 Your Responsibilities

    Once the App is installed and activated, you must have with you your mobile device on which the App is installed whenever operating any automobile (whether or not the automobile is insured under the Policy). You must not disable or shutdown the App or the mobile device, so that the App can detect and record when you start a Trip. It is your responsibility to ensure that your mobile device's location services function is activated for the App and that your device has sufficient battery life for the App to work properly. If you have enabled biometric authentication on your phone such as Touch ID, all of the individuals whose biometrics are stored on the device will be able to access the App.

    6.3 Correcting your Data

    You must periodically check your App and exclude trips that the App has incorrectly determined to be Trips, such as trips where you were a passenger and not driving an automobile. You must make any correction within 14 days of a Trip, or that Trip will be deemed attributable to you. It is a violation of these Terms to claim or exclude Trips inaccurately.

    6.4 App Modifications

    If we upgrade, update or modify the App (including bug fixes, patches and new versions provided to you, the “Modifications”), you may be required to promptly install and use the Modifications in order for you to be able to continue to access and use the App. TD Insurance may provide you with prior notice of the Modifications. However, if the Modifications are for the proper functioning of the App, or safety or security of the App or any systems or networks, then you may not receive prior notice of such Modifications. TD Insurance is not under any obligation to make Modifications.

    6.5 Proprietary Rights

    The App is licensed, not sold, to you. The App, including all text, graphics, user and visual interfaces, trade-marks, logos, computer code, documentation and other content (collectively, the 'Content'), is the exclusive property of its lawful owner and is protected by copyright, trade-mark and other intellectual property laws. TDI also owns the Data gathered by the App, other than your personal information.

    6.6 License Restrictions

    Except as expressly provided in these Terms, no part of the App or Content may be copied,reproduced, sold, rented, leased, lent, redistributed, sublicensed, republished, reposted orotherwise distributed for public or commercial use. You may not decompile, reverse engineer,disassemble, attempt to derive the source code of, modify, or create derivative works of, the App orany part of it. You may not use the App for any purpose that is illegal, fraudulent or infringesanother person’s rights. You agree to comply with any other requirements, restrictions or limitationsprovided by TD Insurance upon notice to you. You further agree to comply with any requirements,restrictions or limitations provided by a third party (including the app store provider, your mobiledevice provider or your wireless services carrier) relating to your use of the App.

    6.7 Cellular or Wireless Service

    The App transmits Data via your wireless carrier or accessible Wi-Fi network. TDI is not responsible or liable for any charges and expenses associated with the use of the App or any other applications. The availability of the App may occasionally be restricted, interrupted or discontinued due to conditions such as, but not limited to: application design, network coverage, government regulation, or other situations beyond our control.

    6.8 Disclaimer of Warranty

    THIS APP IS PROVIDED 'AS-IS,' 'WITH ALL FAULTS,' AND 'AS AVAILABLE.' TDI, AND EACH OF OUR AFFILIATES, GIVES NO REPRESENTATIONS, WARRANTIES, GUARANTEES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR COLLATERAL, OR ARISING FROM STATUTE, COURSE OF DEALING, OR USAGE OF TRADE, INCLUDING, BUT NOT LIMITED TO, IMPLIED REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, QUALITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. TDI DOES NOT WARRANT THAT THE FUNCTIONALITY OR OPERATION OF THE APP WILL BE SECURE, UNINTERRUPTED OR FREE FROM ERROR, THAT ANY DEFECTS IN THE APP WILL BE CORRECTED, OR THAT THE APP OR THE SERVER(S) THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL CONDITIONS OR COMPONENTS. BY USING THE APP ON YOUR MOBILE DEVICE, IT IS POSSIBLE THAT THE WARRANTIES COVERING YOUR MOBILE DEVICE ARE VOIDED, THAT YOUR MOBILE DEVICE MAY BE DAMAGED, THAT DATA STORED IN YOUR MOBILE DEVICE MAY BE CORRUPTED, AND THAT YOUR PROPERTY MAY BE DAMAGED. YOU AGREE THAT YOUR USE OF OR INABILITY TO USE THE APP IS AT YOUR SOLE RISK.

    6.9 Limitation of Liability

    YOU AGREE THAT TO THE EXTENT NOT PROHIBITED BY LAW, TD INSURANCE AND ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS AND SUBCONTRACTORS DISCLAIM ALL LIABILITY, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, FOR DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE AND EXEMPLARY DAMAGES, AND DAMAGES FOR LOSS OF PROFITS, REVENUE, OPPORTUNITY, LOSS OF DATA OR BUSINESS INTERRUPTION) IN ANY WAY ARISING FROM OR RELATING TO THE APP, YOUR USE OR INABILITY TO USE THE APP, AND/OR THESE TERMS, INCLUDING INTERRUPTIONS OF SERVICE OR DELAY IN OPERATION OR TRANSMISSION, AND/OR ARISING FROM THIRD PARTY ACCESS TO PERSONAL INFORMATION INPUT IN THE APP, EVEN IF TDI HAS EXPRESS KNOWLEDGE OF THE POSSIBILITY OF SUCH DAMAGES. TDI WILL NOT HAVE ANY RESPONSIBILITY OR LIABILITY FOR THE SECURITY OF YOUR MOBILE DEVICE OR FOR ANY DAMAGE CAUSED TO YOUR MOBILE DEVICE ARISING FROM USE OF THE APP. YOU AGREE NOT TO SEEK TO RECOVER ANY DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, OPPORTUNITY, LOSS OF DATA OR BUSINESS INTERRUPTION) FROM TDI.

    6.10 Compliance with Laws

    You agree to comply with all applicable laws and regulations of Canada and other countries ('Laws') when using the App. You will ensure that the App is not (1) exported, directly or indirectly, in violation of any Law, or (2) used for any purpose prohibited by any Law, including, without limitation, nuclear, chemical, or biological weapons proliferation. You further agree that you will not use the App for any purpose prohibited under any Law.

    6.11 Submissions

    If you want to submit ideas, suggestions or materials (“Submissions”), to TD Insurance regarding the App (or any other particular product or service offered by TD Insurance) through any means whatsoever, you grant to TD Insurance and its contractors and third party service providers an unrestricted, irrevocable, transferable, non-exclusive, perpetual, worldwide license to use, copy, sell, disclose or publish the Submissions for any purpose whatsoever (including developing and marketing products, services or content using the Submissions), and without any requirement for us to provide you with any credit, notice, approval or compensation for any such use. You waive your moral rights in the Submissions.

  7. RESPONSIBILITY FOR YOUR MOBILE DEVICE

    You are responsible for the care and control of your mobile device and if applicable, password, passcode and verification questions and answers (“User Information”). You must take reasonable steps to safeguard and protect your mobile device and User Information.

    You must:

    Before you sell, give away, or dispose of your mobile device or SIM card, you must ensure that all personal information stored in the App is deleted.

    You are solely responsible for: (i) acquiring any hardware, device, wireless, Internet access and data plan required for you to use the App; and (ii) any fees or other charges imposed by your mobile device provider, wireless services carrier or Internet service provider. It is your responsibility to determine if your mobile device provider, wireless services carrier or Internet service provider supports the App or if your mobile device is capable of accessing the Internet.

    You acknowledge that these Terms are between you and TD Insurance and not with the app store provider (i.e. Google Inc. or Apple Inc.). You agree that the app store provider: (a) is not liable to you in any way whatsoever for the distribution, use, performance or non-performance of the App; (b) has no obligation whatsoever to furnish any maintenance and support services to you with respect to the App; (c) is not responsible for addressing any claims you may have relating to the App or your possession or use of the App; (d) is not responsible for any third party claims that the App or your possession or use of the App infringes that third party’s intellectual property rights; and (e) is a third party beneficiary to these Terms solely in respect of this paragraph.

    • keep possession of your mobile device;

    • keep a lock screen or passcode lock (each a “Device Lock”) on your mobile device at all times;

    • keep your User Information separate from the mobile device;

    • keep your User Information strictly confidential and not share it with anyone;

    • take all reasonable precautions to ensure that no one finds out your User Information, including while you key in User Information on your mobile device;

    • avoid User Information and Device Locks that may be easily determined by others, such as birthdays, phone numbers, age, social insurance number, etc.; and

    • ensure that each password or other identifier is unique.

  9. CONSENT/AGREEMENT

    By downloading and activating the App, you represent that you are the Named Insured or an Insured Person under the Policy, and that you agree and consent:

    1. to participate in the Program;

    2. to comply with the Terms described above, as they apply to you;

    3. to the collection, use and disclosure of your personal information, including your Data as set out in these Terms;

    4. to the retention and use of your personal information, including your Data as set out in these Terms; and

    5. that your non-compliance with these Terms may result in termination of your participation in the Program.

  10. APPLICABLE LAW & LANGUAGE

    These Terms are governed by the laws of the Province of Ontario exclusive of conflict of law provisions and you attorn to the jurisdiction of the courts of the Province of Ontario with respect to any proceedings arising from these Terms. These Terms are not governed by the United Nations Convention on Contracts for the International Sale of Goods. It is the express wish of the parties that these Terms and any directly or indirectly related documents be drawn up in English.     These Terms constitute an endorsement to your Policy. Except as otherwise provided in these Terms, all limits, terms, conditions, provisions, definitions and exclusions of the Policy shall continue to apply and have full force and effect. If there is a conflict between the Policy and these Terms, these Terms will apply but only to the extent of such conflict.

O.  TD Companion App Privacy Terms / TD Companion App Terms and Conditions


It is important that you read and agree to the TD Companion App Privacy Terms and the TD Companion App Terms and Conditions which follow as they will apply each time you use TD MySpend or Clari, a chatbot, (together, the 'TD Companion App'). By tapping the Accept button below or by using the TD Companion App, you are taken to have read and agreed to the TD Companion App Privacy Terms and the TD Companion App Terms and Conditions.

TD Companion App Privacy Terms

TD Companion App will collect and use your information as follows:

  • The TD Companion App will link to your existing TD customer profile and will collect and analyze your transaction data from each of your eligible personal TD Canadian dollar savings, chequing and credit card accounts that is used with TD Companion App (each an 'Eligible Account'). TD collects this transaction data so it can provide you with your average or typical monthly spend and to provide you with answers to general, account and transaction questions you ask Clari.

  • Once you sign up and register for the TD Companion App, each of your Eligible Accounts will automatically be used in the TD Companion App; however you may disable any one or more of your Eligible Accounts from being displayed in TD MySpend by adjusting your preference settings in TD MySpend. Note that TD MySpend will continue to collect and analyze transaction data from disabled Eligible Accounts in case you change your mind and decide to display the Eligible Account in TD MySpend, however, disabled Eligible Accounts will not be included in your average or typical monthly spend calculation displayed in MySpend.

  • Important! When interacting with Clari, we may monitor and/or record the discussion for our mutual protection, to enhance Clari and our customer service, and to confirm our discussions with you. You agree not to ask Clari questions that include characteristics personal to you (such as, but not limited to, your contact information or address, ethnicity or country of origin, colour or race, gender or sexual orientation, marital or family status, disability, religion).

  • Important! Once you sign up and register for the TD Companion App, certain features and information (such as Notifications if using TD MySpend) may be visible on your mobile device without any requirement for you to enter a login or password including the login or password you use to access the TD Companion App or the lock screen or passcode lock that you use to protect your mobile device ('Device Lock'). This may include information from TD MySpend about your average or typical monthly spend from your Eligible Accounts, including the amount of a transaction or the name of the merchant where you made a purchase. As a result, this information may be visible to people who have access to your mobile device. To learn more about the features available to you through the TD Companion App or how to change your preferences, please review these terms and visit the FAQ.

  • TD MySpend may send notifications to your mobile device after there is a transaction on an Eligible Account (each a 'Notification'). You may turn off TD MySpend Notifications at any time by adjusting the settings in the operating system of your mobile device.

  • The TD Companion App will collect device-related information including mobile device identification number (IMEI) (depending on your mobile device), mobile phone number, mobile country code, and other device-related information such as the make and model of your device, its operating system, MAC address, Integrated Circuits Card Identifier, information about its screen size, and the time and date of your use.

TD Companion App Terms and Conditions

These terms and any amendments (the 'Terms') are a legal agreement between you ('you' or 'your') and The Toronto-Dominion Bank and its affiliates in Canada ('TD', 'we' or 'us') for your use of the TD Companion App, a feature that is accessible through the TD app (the 'TD app').

You agree that we may add to or change these Terms at any time and will provide notice to you by posting such notice on the TD app, the TD Companion App (defined in Section 1 below), or by other means we consider appropriate. Your continued use of the TD Companion App following such notice means that you agree to the Terms as amended.

If at any time you do not agree to these Terms or any changes we make to them: you must no longer use Clari; and you must no longer use TD MySpend and uninstall (cancel and remove) the TD MySpend app if you have it installed. You may review and print the most current version of the Terms available by accessing the Terms from https://www./to-our-customers/.

INFORMATION ABOUT THE TD COMPANION APP

  1. The TD Companion App consists of TD MySpend and Clari (a chatbot).

  2. TD MySpend is a money management tool that helps you keep track of your spending from your Eligible Accounts. For example, this tool will help you keep track of your average or typical monthly spend and will categorize your spend (i.e. grocery, health, entertainment etc.). You will be required to download and install a separate app which works with the TD app for smartphones (the 'TD MySpend app') in order to use TD MySpend.

  3. Clari is a tool integrated into the TD app that uses TD MySpend data to respond to certain questions you ask it. Clari can assist authenticated TD customers in answering certain questions related to spending categories and transactions on your Eligible Accounts, general financial inquiries, and frequently asked questions in English and French. Clari will not be able to answer every type of question you ask of it.

ELIGIBILITY REQUIREMENTS

  1. From time to time, TD may establish or modify certain eligibility requirements for the use of the TD Companion App. For example, only certain TD accounts are eligible for use with the TD Companion App and only certain mobile devices and their respective operating systems support the TD Companion App. In addition, you may not be eligible to use the TD Companion App if any one or more of your accounts are not in good standing.

    1. To be eligible to use the TD Companion App, all your TD accounts must be in good standing.

    2. You can use your TD Canadian dollar personal chequing, savings and credit card accounts to: track and display your spending in TD MySpend; and to receive answers to the questions you ask Clari. Business accounts are not eligible.

    3. You are not required to install TD MySpend to use Clari. You are not required to use Clari before using TD MySpend.

CHANGING YOUR PREFERENCE SETTINGS

  1. As noted above in the Privacy Terms, TD MySpend has preference settings that allow you to personalize your TD MySpend experience including the ability to disable any of your Eligible Accounts that you no longer want to display in TD MySpend. In addition, for TD MySpend, you may adjust the settings in the operating system of your mobile device to turn off the receipt of Notifications. The disabling of Eligible Accounts in TD MySpend will not affect your use of Clari, where all your Eligible accounts (regardless of whether they have been disabled in TD MySpend) will be included in responses to your questions. We encourage you to visit the FAQ for more information on all preferences available to you in the TD Companion App.

CERTAIN INFORMATION WILL BE DISPLAYED ON YOUR MOBILE DEVICE

  1. Once you sign up and register for the TD Companion App, each of your Eligible Accounts will automatically be used in the TD Companion App. In addition, after you sign up and register for the TD Companion App, if you add another account to your customer profile (which is eligible for use with the TD Companion App), it will automatically be added for use with the TD Companion App. You may disable any one or more of your Eligible Accounts from being displayed in TD MySpend by going to your TD MySpend preferences and turning off the Eligible Account you wish to remove. Note that, for TD MySpend, we will continue to collect and analyze transaction data from disabled Eligible Accounts in case you change your mind and decide to display the Eligible Account in TD MySpend. We encourage you to visit the FAQ for more information on all preferences available to you in the TD Companion App.

JOINT ACCOUNTS AND AUTHORIZED USER(S)

  1. If one or more of your Eligible Accounts is a TD joint chequing or savings account or a TD credit card account with authorized user(s), each joint account holder or authorized user, as the case may be, will be able to use the TD Companion App on their mobile device, and will receive the same information about your joint account or TD credit card account that you receive through TD MySpend (including updates on the average or typical monthly spend and all Notifications associated with the account) and Clari. Even if you change your preferences in TD MySpend to disable a joint chequing or savings account, or disable a TD credit card account with authorized user(s), the joint account holder or authorized user will continue to be able to use the Eligible Account with the TD Companion App and receive information provided by the TD Companion App which is specific to the Eligible Account.

  2. If you contact TD to make account ownership change(s) to either remove a joint account holder from your joint TD chequing or savings account or to remove an authorized user from your TD credit card account, it may take up to three (3) business days for the account ownership changes to take effect in the TD Companion App. This means that a joint account holder or an authorized user may be able to view the account in TD MySpend or receive responses about the account in Clari until the corresponding change is made in the TD Companion App.

INFORMATION PROVIDED BY THE TD COMPANION APP INCLUDING NOTIFICATIONS

  1. As noted above in the Privacy Terms, you will receive Notifications from TD MySpend when you make a purchase from an Eligible Account (but you will not receive any Notifications from Clari). Once you sign up and register for TD MySpend, you will automatically begin receiving Notifications (unless you refuse to grant permission to the operating system of your mobile device). You may turn off Notifications at any time by adjusting the notification settings contained in the operating system of your mobile device. If you receive a Notification of a transaction that you do not recognize, notify TD AT ONCE at 1-866-222-3456. We encourage you to visit the FAQ for more information on how to change your operating system settings.

  2. TD is not responsible for the failure to provide you with information (including Notifications from TD MySpend) through the TD Companion App at any time. Keep in mind that you may not receive a Notification from TD MySpend for each transaction (please visit our FAQ for more information) and you may not receive Notifications from TD MySpend or responses from Clari if your wireless service carrier or Internet service provider does not provide service in certain geographic areas.

  3. You should not rely on Notifications from TD MySpend or responses from Clari to confirm the final amount of any transaction as there could be transactions for amounts that are larger than your final purchase when it is actually posted to your Eligible Account. For example, hotel and car rental services may post an authorized amount to your TD credit card account to accommodate for security deposits and gas stations may post authorized amounts to accommodate for a pre-determined amount of gas. These amounts are then adjusted when posted to your TD credit card account, after the authorization date, when the security deposits are released from the hotel/car rental service or you do not spend the pre-determined amount of gas.

  4. You should not rely on Notifications from TD MySpend or responses from Clari for the final amount of a TD credit card transaction if you made a purchase in foreign currency as there could be a change in the initial value of the transaction (that is provided to you through a Notification) to when the transaction is posted to your Eligible Account. This is due to the fact that the foreign exchange rate may have changed between the time of the Notification and the time the foreign currency transaction is posted to your Eligible Account.

TD AGREEMENTS; TD COMPANION APP SHOULD NOT BE USED AS A MONTHLY STATEMENT

  1. The terms of the agreements that you entered into or may enter with TD for your Eligible Account(s) or other products or services (as such agreements are amended or replaced by TD from time to time, the 'TD Agreements'), apply to your use of the TD Companion App. These Terms are in addition to and do not in any way amend or replace TD Agreements that apply to your Eligible Account(s) or particular product or service, unless we have specifically advised you in these Terms.

  2. You should not rely on the information provided by the TD Companion App (including Notifications from TD MySpend) for transactional or record keeping or tax purposes as it is provided solely for informational purposes only and is not an official TD statement of account (please refer to sections 22 and 23 for more detail). While the TD Companion App is a helpful tool that will provide support to track your monthly spend from your Eligible Accounts and provide answers to certain questions, you must at all times continue to meet your obligations under your TD Agreements including your obligations to review statements or otherwise review all account activity and promptly tell us about any errors or omissions. The TD Companion App and the information it provides is not a monthly statement nor should it be relied on to review your monthly account activity in order to fulfill your obligations under your TD Agreements.

CARE AND CONTROL OF YOUR MOBILE DEVICE, TD COMPANION APP AND USER INFORMATION

  1. You are responsible for the care and control of your mobile device, and the user identification, PIN, safekeys or safepicture, if applicable, password, passcode lock, lock screen and verification questions and answers associated with your mobile device and your use of the TD Companion App and the TD app ('User Information'). You must take reasonable steps to safeguard and protect your mobile device and User Information.

    You must:

    1. keep possession of your mobile device;

    2. keep a Device Lock (see Privacy Terms for the definition) on your mobile device at all times;

    3. keep your User Information separate from your mobile device;

    4. keep your User Information strictly confidential and not share it with anyone;

    5. not permit anyone to use the TD Companion App on your mobile device;

    6. not use the TD Companion App on another person's mobile device;

    7. take all reasonable precautions to safeguard your User Information, including when you key in User Information on your mobile device;

    8. avoid User Information and Device Locks that may be easily determined by others, such as birthdays, phone numbers, age, social insurance number, etc.; and

    9. ensure that each password or other identifier is unique.

RESPONSIBILITY FOR YOUR MOBILE DEVICE AND TO YOUR MOBILE DEVICE PROVIDER

  1. You are solely responsible for: (i) acquiring any hardware, device, wireless or Internet access required for you to use the TD Companion App; and (ii) any fees or other charges imposed by your mobile device provider, wireless service carrier or Internet service provider. It is your responsibility to determine if your mobile device provider, wireless service carrier or Internet service provider supports the TD Companion App and if your mobile device is capable of accessing the Internet.

MOBILE DEVICE LOST OR STOLEN

  1. You are responsible for use of the TD Companion App on your mobile device. Do not use another person's mobile device to use the TD Companion App as that person will have access to your sensitive information including information provided by the TD Companion App which is specific to your Eligible Account (including Notifications from TD MySpend). Notify TD AT ONCE at 1-866-222-3456 if you suspect your mobile device has been compromised or is lost or stolen or if you receive a Notification that you do not recognize.

DISABLING YOUR TD COMPANION APP

  1. You may disable the TD MySpend app at any time by uninstalling the TD MySpend app from your mobile device or by calling TD at 1-888-281-0413. Before you sell, give away, or dispose of your mobile device, you must uninstall the TD MySpend app. Note that TD MySpend will continue to collect and analyze transaction data from Eligible Accounts for up to 90 days from the date you disable the TD MySpend app in case you change your mind and decide to re-install the TD MySpend app within the 90 day period.

  2. You may uninstall Clari by uninstalling the TD app. You cannot disable or uninstall Clari without uninstalling the TD app entirely, however, Clari will not collect and analyze transaction data from your Eligible Accounts when not in use.

INSTALLING AND USING MODIFICATIONS TO THE TD COMPANION APP

  1. If we upgrade, update or modify the TD app or the TD Companion App (including bug fixes, patches and new versions provided to you, 'Modifications'), you may be required to promptly install and use the Modifications in order for you to be able to continue to access and use the TD Companion App. TD may provide Modifications at any time with or without notice to you. TD, however, is under no obligation to make Modifications.

LICENSE GRANT
  1. You are granted a limited, revocable, royalty-free, non-transferable, non-exclusive license to use the TD Companion App on a mobile device that you own or control. TD can terminate this license at any time and with or without any reason. The TD Companion App is licensed, not sold, to you. You must not rent, lease, lend, sell, redistribute or sublicense the TD Companion App. You agree that TD and its licensors retain all right, title and interest in and to the TD Companion App, including copies and portions of it. You may not decompile, reverse engineer, disassemble, or attempt to derive the source code of, modify, or create derivative works of, the TD Companion App or any part of it. You may not use the TD Companion App for any purpose that is illegal, fraudulent or infringes on another person's rights. You agree to comply with any other requirements, restrictions or limitations provided by TD upon notice to you. You further agree to comply with any requirements, restrictions or limitations provided by a third party (including the app store provider, your mobile device provider or your wireless services carrier) relating to your use of the TD Companion App.

DISCLAIMER OF DAMAGES AND WARRANTY

  1. YOU AGREE THAT YOUR USE OF OR INABILITY TO USE THE TD COMPANION APP IS AT YOUR SOLE RISK. THE TD COMPANION APP IS PROVIDED 'AS IS' AND 'AS AVAILABLE' FOR YOUR USE, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR COLLATERAL, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT INCLUDING WARRANTIES RELATED TO THE AVAILABILITY OF THE TD COMPANION APP (INCLUDING NOTIFICATIONS FROM TD MYSPEND) AND THE ACCURACY OF INFORMATION PROVIDED BY THE TD COMPANION APP.

LIMITATION OF LIABILITY

  1. YOU AGREE THAT TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL TD AND ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS AND SUBCONTRACTORS BE LIABLE FOR ANY DAMAGES (INCLUDING INCIDENTAL, SPECIAL, INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES, DAMAGES FOR LOSS OF PROFITS, REVENUE, OPPORTUNITY, LOSS OF DATA OR BUSINESS INTERRUPTION), ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE TD COMPANION APP.

TERMINATION

  1. We may suspend, cancel or block your access to or use of the TD Companion App at any time and for any reason, without notice or liability to you.

You agree that the app store provider and its affiliates, and the wireless services carrier: (a) are not liable to you in any way whatsoever for the distribution, use, performance or non-performance of the TD Companion App; (b) have no obligation whatsoever to furnish any maintenance and support services to you with respect to the TD Companion App; (c) are not responsible for addressing any claims you may have relating to the TD Companion App or your possession or use of the TD Companion App , including, but not limited to, any claims that the TD Companion App fails to conform to any applicable legal or regulatory requirements, and any claims arising under consumer protection or similar applicable law; (d) are not responsible for the investigation, defense, settlement or discharge of any third party claims that the TD Companion App or your possession or use of the TD Companion App infringes that third party's intellectual property rights; and (e) are third party beneficiaries to these Terms solely in respect of this Section.

GOVERNING LAW

  1. These Terms are governed by the laws of Province of Ontario and the laws of Canada applicable therein. You agree that the courts of the Province of Ontario will have exclusive jurisdiction to entertain any action arising under these Terms. These Terms do not modify any other agreement you may have with TD. If there is a conflict between any other agreement with TD and these Terms, these Terms shall govern for the purposes of the TD Companion App.

    TD For Me will collect and use your information as follows:

  • TD For Me will link to your existing customer profile.

  • TD For Me will collect geo-location information to determine whether or not you are in or near a zone of interest (see Section 1 of the Terms and Conditions below). TD For Me will use this geo-location information to send you information and offers even when you are not actively using the TD app. TD For Me will retain and use this geo-location information for analytic and marketing purposes.   • TD For Me may send you push notifications with information and offers about products and services that we feel may be relevant to you. The offers may be based on your customer relationship with us, including which products and services you hold with us, and/or your device's geo-location information.

  • TD For Me will also collect device-related information including mobile device identifier, and other information arising from your use of TD For Me. TD For Me may also collect information about offers you accept through TD For Me.

TD For Me Terms And Conditions

The following terms and conditions, and any amendments (the 'Terms') are a legal agreement between you ('you' or 'your') and The Toronto-Dominion Bank and its affiliates in Canada ('TD', 'we' or 'us') for your use of TD For Me ('TD For Me'), a feature contained within the TD app (the 'TD app').
If you are using TD For Me on behalf of a sole proprietorship, partnership, corporation or association (each a 'Business'), 'you' or 'your' refers to both the Business and you as an individual user on its behalf and you represent that you are duly authorized to enter into these Terms on behalf of the Business.
You agree that we may add to or change these Terms at any time and will provide notice to you by posting such notice on the TD app or by other means we consider appropriate. Your continued use of TD For Me following such notice means that you agree to the Terms as amended.
If at any time you do not agree to these Terms or any changes we make to them, you must no longer use TD For Me. You may review and print the most current version of the Terms available in the 'Legal' section of the main menu.

Information About TD For Me

  1. TD For Me uses different types of zones of interest to send you information and offers that TD believes will interest you (such as branch events, TD-sponsored events, and marketing offers), through your mobile device. From time to time, TD may establish or modify certain eligibility requirements for use of TD For Me. For example, only certain mobile devices are supported for TD For Me. For more information on eligibility requirements, please consult the FAQs found in the main menu.

  2. TD For Me has preferences settings that allow you to personalize your TD For Me experience. Please see the FAQ page available in the main menu.

TD Agreements

  1. The terms of the agreements that you entered into or may enter into with TD for your TD account(s) or other products or services (as such agreements are amended or replaced by TD from time to time, the 'TD Agreements'), apply to your use of TD For Me. These Terms are in addition to and do not in any way amend or replace the TD Agreements that apply to your TD account(s) or particular product or service, unless we have specifically advised you in these Terms.

Care And Control Of Your Mobile Device, TD For Me And User Information

  1. You are responsible for the care and control of your mobile device, and the user identification, PIN, safekeys or safepicture, if applicable, password, passcode lock, lock screen and verification questions and answers associated with your mobile device and your use of the TD app ('User Information'). You must take reasonable steps to safeguard and protect your mobile device and User Information.

  2. You must:

    • keep possession of your mobile device;

    • keep a lock screen or passcode lock (each a 'Device Lock') on your mobile device at all times;

    • keep your User Information separate from your mobile device;

    • keep your User Information strictly confidential and not share it with anyone;

    • not permit anyone to use TD For Me on your mobile device, including but not limited to accepting any offers presented by TD For Me on your mobile device;

    • take all reasonable precautions to ensure that no one finds out your User Information, including while you key in User Information on your mobile device;

    • avoid User Information and Device Locks that may be easily determined by others, such as birthdays, phone numbers, age, social insurance number, etc.; and

    • ensure that each password or other identifier is unique.

Responsibility For Your Mobile Device And To Your Mobile Device Provider

  1. You are solely responsible for: (i) acquiring any hardware, device, wireless or Internet access required for you to use TD For Me; and (ii) any fees or other charges imposed by your mobile device provider, wireless services carrier or Internet service provider. It is your responsibility to determine if your mobile device provider, wireless services carrier or Internet service provider supports TD For Me or if your mobile device is capable of accessing the Internet.

Mobile Device Is Lost Or Stolen

  1. You are responsible for all use of TD For Me on your mobile device, including the acceptance of any offers presented by TD For Me through your mobile device. Notify TD AT ONCE at 1-866-222-3456 if you suspect your mobile device has been compromised or is lost or stolen.

Disabling TD For Me

  1. You may disable TD For Me at any time through the 'Preferences' settings in the TD For Me main menu.

Installing And Using Modifications To TD For Me

  1. If we upgrade, update or modify TD For Me (including bug fixes, patches and new versions provided to you, 'Modifications'), you may be required to promptly install and use the Modifications in order for you to be able to continue to access and use TD For Me. TD may provide Modifications at any time with or without notice to you. TD, however, is under no obligation to make Modifications.

License Grant

  1. You are granted a limited, revocable, non-transferable, non-exclusive license to use TD For Me on a mobile device that you own or control. TD can terminate this license at any time and with or without any reason. TD For Me is licensed, not sold, to you. You must not rent, lease, lend, sell, redistribute or sublicense TD For Me. You agree that TD retains all right, title and interest in and to TD For Me including copies and portions of it. You may not decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of, TD For Me or any part of it. You may not use TD For Me for any purpose that is illegal, fraudulent or infringes another person's rights. You agree to comply with any other requirements, restrictions or limitations provided by TD upon notice to you. You further agree to comply with any requirements, restrictions or limitations provided by a third party (including the app store provider, your mobile device provider or your wireless services carrier) relating to your use of TD For Me.

Possible Effects Of Installation, Removal Or Usage Of Td For Me And Disclaimer Of Damages And Warranty

  1. YOU AGREE THAT YOUR USE OF OR INABILITY TO USE TD FOR ME IS AT YOUR SOLE RISK. TD FOR ME IS PROVIDED 'AS IS' AND 'AS AVAILABLE' FOR YOUR USE, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR COLLATERAL, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.

Limitation Of Liability

  1. Information About TD Mobile Deposit

  1. You can make deposits to an eligible TD deposit account ('Account') by taking a picture of the front and the back of the eligible Item (as defined below, 'Images') with your supported mobile device ('Mobile Device') and submitting the Images and any other information required by TD through TD Mobile Deposit. You agree to follow procedures and instructions for use of TD Mobile Deposit that we may establish from time to time.
    To use TD Mobile Deposit you will need to meet certain eligibility requirements set by TD from time to time. For example, only certain customers, Items, Accounts and Mobile Devices qualify for TD Mobile Deposit. For more information on eligibility requirements, please consult www./mobiledeposit.

TD Agreements

  1. The terms of the agreements that you entered into or may enter into with TD for your Account(s) (as such agreements are amended or replaced by TD from time to time, 'TD Agreements'), apply to your use of TD Mobile Deposit. These Terms are in addition to and do not in any way amend or replace the TD Agreements that apply to your Account(s) or particular product or service, unless we have specifically advised you in these Terms. If you are a Business holding an Account with us, the Terms are a 'Service Schedule' to your TD Agreement.

Agency

  1. We appoint you as our agent to create and submit Images that you wish to deposit with TD through TD Mobile Deposit. You agree to accept this appointment and further agree not to delegate this role to anyone else.

Eligible Items

  1. You may deposit, through TD Mobile Deposit, any of the following original paper items issued by a Canadian financial institution and payable in Canadian or U.S. currency: (i) cheques; (ii) money orders; (iii) bank drafts; or (iv) any other item that TD chooses to make eligible for this service from time to time (each an 'Item'). Items payable in Canadian currency must be deposited to an eligible Canadian dollar Account and Items payable in U.S. currency must be deposited to an eligible U.S. dollar Account. Items must meet any other eligibility requirements specified in these Terms.

Your Promises to Us

  1. When you use TD Mobile Deposit, you agree that:

    • You will only deposit eligible Items;

    • Each Item deposited through TD Mobile Deposit must be an image of the front and back of the original Item and not an image of a photocopy, PDF or other printout;

    • Each Item deposited must be in a form approved by the Canadian Payments Association and must include, at a minimum, the date, names of the payee and drawee institution, amount in words and figures, drawer's signature and the magnetic ink character recognition (MICR) information. All of this information must be legible;

    • Any information you provide us about the Item is accurate and true and will match the information contained in the Images;

    • You will only deposit Items issued by Canadian financial institutions or the Government of Canada;

    • Before you submit the Images through TD Mobile Deposit, you will sign your name and write on the back of the Item 'For Deposit Only, Account # ___________________';

    • You will only use TD Mobile Deposit to deposit Items that are payable to you. If you are depositing the Item to a joint account, you may use TD Mobile Deposit to deposit the Item if the Item is made payable to you and/or your joint account holder. TD will not accept an Item that is payable to someone else and endorsed over to you;

    • You will not use TD Mobile Deposit to deposit Items:

      • which have already been deposited;

      • which contain an alteration on the front (including an alteration to the MICR information), or which you know or suspect, or should know or suspect, are fraudulent;

      • that are postdated or dated more than 6 months prior to the date of deposit; or

      • on which a stop payment order has been issued or for which there are insufficient funds.

    • You will not re-deposit or re-present the Item after it has been deposited through TD Mobile Deposit;

    • You will take all necessary precautions to prevent any other person from using TD Mobile Deposit to deposit Items to your Account; and

    • You will comply with these Terms and all applicable rules, laws and regulations.

After You Deposit an Item Through TD Mobile Deposit

  1. You agree that immediately after you deposit an Item through TD Mobile Deposit, you will write the date and 'Deposited' on the front of the Item. You agree that you will keep the Item in a safe and secure place for fourteen (14) days following the date of deposit and will promptly send the Item to us upon TD's request. Upon the expiry of this fourteen (14) day period, you agree that you will promptly destroy the Item.

After You Deposit an Item Through TD Mobile Deposit

  1. You acknowledge that submission of an Item through TD Mobile Deposit does not mean that the Item contains no errors or has been unconditionally accepted for deposit by TD. Any Item deposited through TD Mobile Deposit is subject to our Hold Funds Policy available at http://www./document/PDF/520866.pdf. Please also consult section 9 below, and the terms of your applicable TD Agreement for more information in this regard.

  2. You agree to cooperate with us in the investigation of unusual activity, poor quality Images, and resolution of customer claims by providing to us, upon request, originals or copies of Items deposited through TD Mobile Deposit in your possession and any records you may have related to such Items or Images.

Rejected and Returned Items

  1. TD may reject any Item deposited through TD Mobile Deposit at our discretion. For example, an Item may be rejected by TD if we subsequently determine it was not eligible for deposit or may be returned by another financial institution due to poor image quality, insufficient funds, alteration or other reason for which the Item may not be processed. We are not responsible for Images that we do not receive and TD may recover applicable funds from you or reverse the credit made to your account. Without in any way limiting our rights under section 20 entitled 'Limitation of Liability', you agree that TD is not liable for any damages resulting from a rejected or returned Item, the delayed or improper crediting of an Item or inaccurate information you provide us regarding an Item. You agree to be responsible for any costs relating to obtaining a replacement Item in the event we require you to re-transmit Images or provide such replacement Item.

Deposit Times

  1. You may access TD Mobile Deposit 7 days a week. If TD receives the Images on or before 11:59 p.m. (EST) on a business day, we will consider that day to be the 'Deposit Date'. If TD receives the Images after 11:59 p.m. (EST) or on a weekend or a statutory holiday observed by TD, the next business day will be considered the 'Deposit Date'. For clarity, Saturday, Sunday and bank holidays are not considered to be business days.

Availability of Funds

  1. When you make a deposit through TD Mobile Deposit, the funds will be posted to your account on the Deposit Date, but availability and access to the funds is subject to TD's Hold Funds Policy available at http://www./document/PDF/520866.pdf. Before you complete a deposit, TD Mobile Deposit will confirm the amount of funds that will be immediately available to you for withdrawal after you deposit the Item through TD Mobile Deposit.

Limits

  1. TD may impose limits on this service and may modify those limits with or without notice to you. For example, there are limits on the amount of funds you can deposit through TD Mobile Deposit on a daily and monthly basis. If you attempt to make a deposit in excess of the limits set by TD, we may reject your deposit. If, at any time, we permit you to make a deposit in excess of the limits set by TD on TD Mobile Deposit, we will not be obligated to allow such a deposit at other times.

Fees

  1. While there is no fee for the provision of TD Mobile Deposit, regular account transaction fees may apply in accordance with your TD Agreements. TD Bank may charge a fee for the provision of TD Mobile Deposit if we provide you with advance notice required in accordance with applicable laws. If you continue to use TD Mobile Deposit after the fee becomes effective, you agree to pay the fee that has been disclosed to you, as this fee may change from time to time.

Responsibility for Your Mobile Device and to Your Mobile Device Provider

  1. You are solely responsible for: (i) acquiring any hardware, device, wireless or Internet access required for you to use TD Mobile Deposit; and (ii) any fees or other charges imposed by your Mobile Device provider, wireless services carrier or Internet service provider. It is your responsibility to determine if your Mobile Device provider, wireless services carrier or Internet service provider supports TD Mobile Deposit or if your Mobile Device is capable of accessing the Internet.

Mobile Device is Lost or Stolen

  1. You are responsible for all deposits completed through TD Mobile Deposit on your Mobile Device. Notify TD at once at 1-866-222-3456 if you suspect your Mobile Device has been compromised or is lost or stolen. When you notify us, we will restrict access to TD Mobile Deposit.

Disabling Your TD Mobile Deposit User Account

  1. You may disable your TD Mobile Deposit user account at any time by calling TD at 1-866-222-3456.

Installing and Using Modifications to TD Mobile Deposit

  1. If we upgrade, update or modify TD Mobile Deposit (including bug fixes, patches and new versions provided to you, the 'Modifications'), you may be required to promptly install and use the Modifications in order for you to be able to continue to access and use TD Mobile Deposit. TD may provide you with prior notice of the Modifications. However, if the Modifications are for the proper functioning of TD Mobile Deposit, or safety or security of TD Mobile Deposit or any systems or networks, TD may not provide you with prior notice.   1. You agree that your use of or inability to use TD Mobile Deposit is at your sole risk. TD Mobile Deposit is provided 'as is' and 'as available' for your use, without warranties or conditions of any kind, express, implied, statutory or collateral, including all implied warranties or conditions of merchantable quality, fitness for a particular purpose, title, and noninfringement.

Limitation of Liability

  1. You agree that to the extent not prohibited by law, in no event will TD and its officers, directors, shareholders, employees, agents and subcontractors be liable for any damages (including incidental, special, indirect, consequential or punitive damages, damages for loss of profits, revenue, opportunity, loss of data or business interruption), arising out of or related to your use or inability to use TD Mobile Deposit.

Termination

Privacy Notice

  1. For the purposes of TD Mobile Deposit, TD will collect your mobile device identification number (IMEI) (depending on your Mobile Device), IP address, and other information arising from your use of TD Mobile Deposit, including information on the cheque (collectively called 'Data').

By accepting the Biometric Terms of Use or by using Touch ID, Face ID or other forms of Biometrics ('Biometrics'), you are taken to have read and agreed to these Biometric Terms of Use, between you and The Toronto-Dominion Bank and its affiliates in Canada ('TD', 'we' or 'us'), including any amendments to these terms. You acknowledge that once this mobile device ('Device') is enabled with Biometrics for the TD app, any Biometric data stored on the Device can be used to access your TD accounts and information available through the TD apps and any apps offered by TD which you access using your TD app login credentials ('TD App') .

By accepting these Biometric Terms of Use, you acknowledge and agree that:

  1. You are responsible for the care and control of your Device and you must take reasonable steps to safeguard and protect your Device from access by any individuals other than yourself.

  2. You agree that you will not enable Biometrics on your Device for TD App if:

    • (a) there is any Biometric data, other than your own, stored on your Device;

    • (b) if you share your Device with any other individuals; or

    • (c) If you have shared your current Device passcode with any other individuals.


  3. After you have enabled Biometrics, you will not permit any Biometric data, other than your own, to unlock your Device, and you will not share your Device passcode, while Biometrics is enabled.

  4. You agree to delete the TD App and any login credentials (Username and Password) and Biometric data stored on your Device, prior to sharing, transferring or disposing of your Device.

  5. You agree to notify TD at once if you suspect your Device is lost or stolen.

  6. You accept responsibility for all transactions carried out through the TD App on your Device while Biometrics is enabled, regardless of whether the transaction was completed by you or any person with Biometric data saved to your Device.


You agree that in no event will TD be liable for any damages arising out of or related to your use of, or inability to use, Biometrics. TD reserves the right to disable Biometrics for the TD App at any time without notice.

To understand how TD uses Device related information and other information arising from your use of the TD App, please review TD's Mobile Apps Privacy Code. These Biometric Terms of Use are in addition to and do not in any way amend or replace other agreements that apply to your use of the TD App or to TD products or services, unless we have specifically advised you in these terms.

S.   Two-Step Verification Terms of Use for TD Bank customers (Canada)

By clicking 'Agree', you confirm you have read and agreed to these terms of use:

You agree to enter your phone number or multiple phone numbers that you are authorized to use. You consentto TD sending you, from time to time (a) an SMS text message or a voice message to your mobile phone number;or (b) a voice message to your landline phone number. The message will contain a one-time security code thatyou will be required to use to authenticate from time to time as determined by TD. You may have previouslyprovided the same email and phone numbers for other purposes. Any associated consents are still in effect.

You agree that if you choose to receive a voice message and you fail to pick up the call from TD, the messagemay be delivered to your voicemail.

You also agree that TD may use the email address you provide to send you security notifications related to youraccount.

Standard wireless carrier message and data rates and roaming fees may apply. Please consult your wireless carrierfor applicable text messaging fees and data plan rates.

TD Platform Terms of Use and Privacy Terms  

Please read this document carefully. These TD Platform Terms of Use and Privacy Terms (the 'TD Terms of Use' or “Terms”) are a legal agreement between you and The Toronto-Dominion Bank and apply to your use of the TD Platform.

  1. We use the following terms throughout and want to make sure you understand what they mean:

'Global Money Transfer' means an electronic transfer of funds from you to another person outside of Canada using the Western Union® Money Transfer service;

'Recipient' means the person who is intended to receive the funds you send using the Western Union® Money Transfer service;

'TD Platform' means the service offered by TD, through TD's Mobile Banking App or EasyWeb Online Banking Service, which connects you to the Western Union® Money Transfer service;

'Us/we/our/TD' means The Toronto-Dominion Bank and its affiliates in Canada;

'Western Union' means Western Union Financial Services (Canada), Inc., an independent company and not an affiliate or company within TD Bank Group, which provides the Western Union® Money Transfer service in accordance with the Western Union Terms and Conditions;

'Western Union® Money Transfer' means the global money transfer service offered by Western Union in accordance with the Western Union Terms and Conditions, and made available to you via the TD Platform; and

'You/your' means you, as TD customer.

  1. It is important that you understand when these TD Terms of Use apply and when Western Union's Terms and Conditions relating to the Western Union® Money Transfer service found at www./ca/en/Terms-Conditions-TD-version.html (English) and www./ca/fr/Conditions-Generales-TD-version.html (French) ('Western Union Terms and Conditions') apply.

  1. TD Terms of Use: The TD Platform is designed to give you access to the Western Union® Money Transfer service. These Terms will apply each time you use the TD Platform to send a Global Money Transfer using Western Union® Money Transfer service. By clicking the Accept button you confirm that you (1) are the age of majority in the province you reside; (2) have read these Terms; (3) consent to the TD Platform service; and (4) agree to be bound by these Terms. You should print or download and save these Terms. These Terms are available at the time of registration and on our public web site at https://www./document/PDF/IRM_terms_and_conditions.pdf (English) and https://www./francais/document/PDF/IRM_terms_and_conditions_FR.pdf (French). If you do not wish to click the Accept button, please note that you will not be able to access the TD Platform and use the Western Union® Money Transfer service.

  1. Western Union Terms and Conditions: In addition to these Terms, before you can complete a transaction using the Western Union® Money Transfer service, you will also have to review and agree to the Western Union Terms and Conditions. The Western Union Terms and Conditions apply to your relationship with Western Union and to your use of the Western Union® Money Transfer service.  Each time you submit your request to send a Global Money Transfer, Western Union is responsible for handling your request in accordance with the Western Union Terms and Conditions.

  1. TD fees and service charges: TD does not charge you a fee for the use of the TD Platform. However, money transfers, including Global Money Transfer, are transactions to which regular account transaction charges may apply.  These transaction charges are disclosed in TD's disclosure statement, About our Accounts and Related Services

  1. TD compensation: TD will receive compensation from Western Union for Western Union® Money Transfer transactions made using the TD Platform.

  1. Western Union® Money Transfer fees: Western Union may charge fees ('Western Union Transfer Fee') to process each Global Money Transfer. Western Union also determines the foreign exchange rate that applies to your Global Money Transfer.  Before you submit your request to initiate the Global Money Transfer, Western Union is responsible for disclosing to you the Western Union Transfer Fee, the foreign exchange rate (including estimates) and additional details about fees, taxes, transaction limits or other relevant information relating to specific countries.  Payments will generally be in local currency (except that in certain countries payment may be in U.S. dollars or other alternate currency at participating locations). In addition to the Western Union Transfer Fee applicable to each transaction, a currency exchange rate will be applied to the transaction. Canadian currency is converted to foreign currency at an exchange rate set by Western Union. Any difference between the rate given to you and the rate received by Western Union will be kept by Western Union (and its agents in some cases) in addition to the Western Union Transfer Fee.  You agree to pay to Western Union the Western Union Transfer Fee.

    You authorize TD to debit your TD account selected by you during the transaction process for the total amount of the Global Money Transfer you are sending and the Western Union Transfer Fee charged to you by Western Union. TD is not responsible for the Western Union Transfer Fee and foreign exchange rate provided by Western Union.

  1. TD transaction records: Your TD transaction records will show two (2) debits: one for the amount of the Global Money Transfer you are sending and another for the Western Union Transfer Fee charged by Western Union. These two (2) debits only count as one chargeable transaction for the purposes of the monthly transaction limits for your account.

  1. Limits: Each of TD and Western Union applies limits to the Global Money Transfer that you can send:

  • (a) TD’s per Global Money Transfer limit is $999.99.

  • (b) Western Union’s per Global Money Transfer limit is $999.99, 24-hour limit is $999.99, 7-day limit is $2,999.97 and 30-day limit is $6,999.93.

Western Union® Money Transfer requests through the TD Platform will count towards your Western Union cumulative limits.

  1. No agency relationship: The Western Union® Money Transfer service is provided by Western Union and TD is not acting as your agent for the purposes of your Global Money Transfer or any other dealings between you and Western Union.

  1. Use of the TD Platform: You agree not to use the TD Platform, the Global Money Transfer or the Western Union® Money Transfer service to make transfers on behalf of any third party, including any individual, a business or other enterprise, or in any other manner that conflicts with these Terms.

  1. Profile update: You must make sure that your profile information with us (name, address and phone or mobile number) is up to date before you use the TD Platform and each time you use it.

  1. Consent to collect 3rd party info: It is your responsibility to provide complete and accurate information required about Recipients. Please carefully review the information you have entered prior to completing the Global Money Transfer. You further agree that the Recipient knows that you are providing Recipient's contact information to TD and Western Union, is aware of the purpose for which the information is being collected, used, disclosed and stored and you have obtained Recipient's consent to such collection, use, disclosure and storage. You further agree that we may disclose this information to Western Union for the purposes of providing the money transfer services to you. The information provided will be used to complete your request and fulfill regulatory requirements and will be treated in accordance with the TD Privacy Agreement and Western Union Privacy Statement.

  1. Eligible accounts: Not all your accounts are eligible for the purposes of sending the Global Money Transfer. Eligible accounts are listed as part of the account selection made available to you during the transaction process.

  1. Cancelling your transaction: If you wish to cancel your Western Union® Money Transfer transaction, you may contact TD at 1-844-352-1148 (en français 1-844-352-1148) or Western Union at 1-866-279-0640 (English and en français). In addition, if a Western Union® Money Transfer transaction is submitted but the funds are not picked up by the Recipient within 60 days after the transaction is submitted, it will be cancelled by Western Union.  You cannot cancel your Western Union® Money Transfer transaction after the funds are picked up by the Recipient.  When your Western Union® Money Transfer transaction is cancelled, TD will credit to your TD account that was used to submit the Western Union Money Transfer transaction (i) the amount of the Global Money Transfer you sent and (ii) Western Union Transfer Fee.

  1. Hold, block, reject a request: TD or Western Union may hold, block or reject, as applicable, a request to send a Global Money Transfer that would or may infringe any legal or regulatory requirements in Canada or abroad or otherwise in accordance with TD’s or Western Union’s risk or compliance policies.  

  1. Liability: The Western Union® Money Transfer service is provided by Western Union. We have no liability to you for the provision by Western Union of these services or for any loss of your funds after they are transferred to Western Union (including resulting from any delay, rejection or cancellation or Western Union’s insolvency).  We are responsible for the operation of the TD Platform.  We are not liable to you for any loss or damages incurred by you for the operation of the TD Platform, except for direct damages suffered where we or our agents were negligent. This limitation on our liability to direct damages applies even if we have been advised of the possibility that you may suffer other types of loss or damages.  In no event are we liable for any loss or damages resulting from the following: (i) any failure, error, malfunction, misuse, delay, or inaccessibility of the TD Platform or of Global Money Transfer, (ii) any system, equipment or service caused by a third party or other circumstances beyond our control, (iii) any rejection or cancellation of transactions, or (iv) any other failure, error, or delay by a third party, or other circumstances beyond our control.

  1. Changes to our Terms and changes to TD Platform: Subject to applicable law, we may add to or change the provisions of these Terms at any time.

  1. Our right to stop offering the TD Platform: We may stop offering the TD Platform, add or remove countries or territories to which Global Money Transfer may be sent, update any other feature of the TD Platform or stop providing you with access to the Western Union® Money Transfer service via the TD Platform, at any time.

  1. Complaints addressed to TD: If you have a problem or concern with the use of the TD Platform, you may call us toll free at 1-844-352-1148 (en français 1-844-352-1148), email us at service@, or visit us at any branch. You can also directly address your concerns to Western Union in accordance with Western Union Terms and Conditions.

  1. Other TD agreements: These Terms are in addition to and do not replace any other agreement you may have with us, including the Financial Services Terms and Cardholder and Electronic Financial Services Terms.

  1. Governing laws: These Terms are governed by and interpreted in accordance with the laws of the province or territory in Canada where you reside.

  1. Language: It is the express wish of the parties that these Terms and any directly or indirectly related documents be drawn up in English.
