购买银行保函/备用信用证 Purchase (BG/SBLC)

下面是买银行保函或备用信用证的一般程序参考

1	Buyer 买方	The  Buyer submits this SPA with: 卖家签署买卖协议并递交文件： a)      Client  Information Sheet (“CIS”) with  full bank coordinates b)      A  copy of Corporate Registration Certificate and Board of Directors c)      A  copy of Passport of the Authorized Signatory: d)      Board  Resolution appointing Signatory. e)      Non-Solicitation  Statement f)        A  proposed Tranche Schedule. g)      POF  Bank statement of first tranche payment plus ATV h)      Project  Summary
2	Seller卖方	The Seller countersigns this SPA and sends copy to Buyer. 卖方签回买卖协议并将副本发送给买方。
3	Both Parties 双方	Both Parties lodge  the executed SPA to their relevant banks. 双方均已将被签署的买卖协议提交各自相关银行。
4	Buyer 买方	Within  twenty-four (24) hours after the SPA successfully lodged in the  respective banks of Buyer and Seller, Buyer shall cause his Bank to send via MT199 or MT799, a Proof of Funds  (POF) and Ready, Willing and Able (RWA) letter as confirmation of ability  to pay the purchase price of first tranche and ability to complete Contractual  Agreement. 在签署协议并提交给各自银行后的24 小时内，买方通过自己银行通过MT199/799 向开证银行发送资金证明与RWA。
5	Seller卖方	Within three (3) banking days, upon  receipt and validation of the MT199/MT799 POF and RWA from Buyer’s Bank, this SPA now becomes a legally  binding and valid commercial agreement between the Seller and the Buyer. 在收到买方的MT199/799（POF与RWA）后的三个工作天内，签署协议正式生效 Seller will send via MT799, a Corporate Invoice (CI) and a Pre Advice confirming RWA to deliver BG/SBLC  via SWIFT MT760.    买方通过他MT799，公司发票以及Pre Advice 确认开证银行的保函发送能力
6	Buyer买方	Within  three (3) banking days of receipt of Corporate Invoice and  Pre-advise, the  Buyer causes the Buyer’s bank to issue via MT799, a Blocked Funds Letter (BFL)  and Bank  Undertaking Letter (BUL), to pay upon receipt of SWIFT MT760 of BG/SBLC. The Buyer  forwards via e-mail a copy of the SWIFT MT799 transmission of the BFL and BUL  to the Seller via email. 在收到卖方银行的MT799 PRE ADVICE 后的三个工作天内，买方需要通过自己银行发送MT799回复卖方银行，同时发送资金锁定涵与支付保证，保证在收到奥卖方的MT760/保函后，做出相关的付款。买方需要通过电子邮件把发送的MT799/BFL/BUL的副本发给卖方。
7	Seller卖方	Within  three (3) banking days of receipt of the SWIFT MT799 BFL and BUL  from Buyer’s bank, the Seller’s bank delivers a BG/SBLC/SBLC via SWIFT  MT760 as per Exhibit  E.  The Seller forwards via e-mail a copy of the  SWIFT MT760 to the Buyer. 在收到买方银行发来的MT799/BFL/BUL后的３个工作天内，卖方银行通过MT760 发送保函到买方银行坐标。卖方需要通过电子邮件把发送的MT760的副本发给买方。
8	Buyer买方	Upon receipt of the SWIFT MT760 BG/SBLC, the Buyer’s  bank shall authenticate and validate the SWIFT MT760 on a bank to bank basis  and Within three (3) banking days  of receipt and validation of the MT760 BG/SBLC, releases Payment via SWIFT MT103 to Seller and Consultants. The Buyer forwards via e-mail a copy of  the SWIFT MT103 to Seller and consultant paymasters immediately upon  transmission of Payment. 在收到SWIFT MT760 BG / SBLC后，买方银行应以银行对银行的方式对SWIFT MT760进行确认和验证，并在MT760 BG/SBLC 收到和确认后三（3）个银行日内通过SWIFT MT103 向卖方和顾问支付相关的款项。买方通过电子邮件立即在SWIFTMT103 发送后，将SWIFT MT103的副本转发给卖方和顾问。
9	Seller 卖方	Within  seven (7) banking days of receipt of the payment, the Seller  causes the Delivery of the Original Hard Copy via bank bonded courier to the  designated bank account of the Buyer. 在收到付款的七（7）个银行日内，卖方通过银行绑定的快递将原始硬拷贝发送交给买方的指定银行帐户。
10	Both Parties 双方	Subsequent tranches shall be as per Tranche Schedule specified  in this SPA or as may be agreed upon between the Seller and the Buyer.  Subsequent tranches shall be as per the  procedures above. 后续的发送应根据本SPA中指定的或可能由卖方与买方商定的分布分批计划。而相关的后续付款应按上述程序进行。
11	Both Parties 双方	Any rolls and extensions have to be agreed upon between the  Seller and the Buyer by one (1) week before the initial contract amount is exhausted. 任何后续和延伸交易，都需要买卖双方在本协议内的额度耗尽前的一个星期内，有双方协商同意后进行。

很多朋友也被這些銀行工具的買賣搞得雲裏霧裏，也搞不明白爲什麽價格可以是45+1+1，或更低，也有略高的60%等等。爲什麽差異如此大？ 利潤也如此大嗎？

要解答這些疑問，沒辦法三言兩語可以做得到的。我們這樣理解吧，因爲BG/SBLC的買賣，衹是限於極小數機構之間，甚至銀行都不能參與，一般機構參與這些銀行工具賣買是非法的，而且裏面牽涉一年后托收的問題，弄不好也會惹上洗錢的嫌疑。。。

本文所闡述的衹是一般的買賣程序，讓大家對這些交易有一個初步的認識。沒法套用到所有的交易中，實際的交易，往往遠比本文所描述的複雜。特別是在亞洲，爲了規避一些風險，各施各法。在這個過程中，因爲牽涉的金額巨大，買賣之間的信任的建立也變的非常重要。如果各位對此有興趣或有需要，建議咨詢身邊信得過的朋友，把風險降至最低。
