Miscellaneous 鉴于甲方将在乌兹别克斯坦的塔什干市铁路枢纽中心建设大型货运站，愿意购买由乙方制造的型号为的建筑起重机和附属设备，并按照合同约定支付相关价款； 鉴于乙方制造甲方需要订购型号的建筑起重机和附属设备并负责安装到甲方指定工地，承担售后服务，并按照合同约定收取相关价款； 因此，双方经友好协商，遵循平等、自愿、公平和诚实信用的原则，就本合同约定的建筑起重机械的安装、顶升、附着、售后服务事项协商一致,订立本合同。 Whereas Party A will build a large freight terminal in the railway center of the city of Tashkent, Uzbekistan, and are willing to order the construction cranes with the ancillary equipment of the type of which manufactured by Party B and to effect payment of the relevant price as stipulated in the contract. Whereas Party B manufactures the construction cranes and ancillary equipment of the type which ordered by Party A and is responsible for the installation thereof at the site designated by Party A, in addition to undertake after-sales service and collect the relevant price in accordance with the contract. Therefore, the parties hereto, through friendly consultation between the parties hereto, following the principles of equality, voluntariness, fairness and honesty and credit, conclude this contract on the installation, jacking, attachment and after-sales service of construction cranes as stipulated herein. 一、型号规格 1. MODEL SPECIFICATION QTZ-40 塔机(主机高度为28米)，电缆线按112米配置，钢丝绳按380米配置;每台塔机用电缆线按140米配置，钢丝绳按380米配置；乙方在供应标准节时必须随机提供安装所用的各种螺丝及垫片。塔吊监控系统每台配备一套。 QTZ-40 tower crane (host height is 28 meters), configuration of cable line to 112 meters, wire rope according to 380 meters; each tower crane with cable line according to 140 meters, wire rope according to 380 meters. Party B shall, in the supply of standard section, provide with the tower crane a variety of screws and shims used for installation. The monitoring system of tower crane is equipped with one set per unit. 二、塔吊台数 2. NUMBER OF TOWER CRANES 甲方向乙方订购台QTZ-40 建筑起重塔机（配标准附件和工具）。 Party A orders from Party B sets of the QTZ-40 construction crane (with standard accessories and tools). 三、价款 3. PRICE 1、塔吊购买价格：每台为美元FCA塔什干（包装费包括在内） 1. The unit price of tower crane: USD FCA Tashkent per set (packing charges include): 2、安装工程费用：每台为美元。 2. Cost of installation work:USD per set. 3.设备运输费每台美元。 3.The transporting cost of tower crane per set is USD per set. 4、合同单价包含材料、设备、装车运输、税金、安装、指导调试和培训等费用，以及中国海关规定的费用; 4. The contract unit price includes the cost of materials, equipment, loading and transportation, taxes, installation, instruction and training, in addition to the costs specified by China’s Customs; 总金额：美元（大写): Total Amount: USD (in words): 四、支付方式 4. PAYMENT 1、合同签订后20个工作日内，甲方向乙方电汇支付合同总价的10%，计美元（或相当于该金额的人民币）作为合同预付款。 The Party A should, within 20 working days upon signature hereof, pay 10% of the total contract price to Party B through telegraphic transfer, counting US Dollars (or equal to the same value of RMB) as advance payment of the contract. 2、货物装运后，乙方应将以甲方为付款人的远期汇票连同本合同的各种货运单据，通过乙方银行寄交甲方银行转交甲方，并托收货款。甲方对乙方开具的见票后30天付款的跟单汇票，于提示时承兑，并于汇票到期时付款，承兑后交单。 After delivery, the Party B shall send through the Party B’s bank a usance draft drawn on the Party A together with the shipping documents to the Party A through the Party A’s bank for collection. The Party A shall duly accept the documentary draft drawn by the Party B at 30days sight upon first presentation and make payment on its maturity. The shipping documents are to be delivered against acceptance. 3、款项付至合同价的95%，留5%作质保金，质保期（一年）满10日内结清全部尾款。 3、Payment up to 95% of the contract price, leaving 5% for warranty, and the final payment will be settled within 10 days upon maturity of warranty (one year). 五、质量标准 5. Quality standards 质量要求及技术标准： 乙方向甲方提供的建筑起重机械为全新制造的、机械性能良好、安全装置齐全有效、使用有效期在合同约定时间内。 Quality requirements and technical standards. The construction cranes provided by Party B to Party A are newly manufactured, with good mechanical performance, complete and effective safety devices, and valid for use within the contracted time. 乙方保证其所提供的塔式起重机及所有设备必须符合中国相关质量标准，满足验收要求，并承担产品质量保修期间的质量责任。适用于本合同的标准包括但不限于以下： Party B warrants that the tower cranes and all equipment it supplies should conform to China’s relevant quality standards, satisfy the acceptance requirements and assume responsibility for the quality of the product during the warranty period. The standards applicable to this contract include, but are not limited to, the following. 六、交货时间、地点和运输要求 6. Delivery time, place and transportation requirements 1、在甲方按合同约定支付预付款后日内，乙方必须将本合同约定设备的“基础图”、“平衡重量图”及“预埋螺栓”提供给甲方。 1. Party B should, within days upon Party A’s payment of the advance as stipulated herein, provide Party A with the Foundation Plan, Balance Weight Plan and Pre-buried Bolts of the equipment which stipulated in this contract. 3、包装标准：整机裸装，随机附件和随机文件用铁箱包装，包装箱不回收(乙方需随货提供装箱清单、随机零配件清单及随机配带小型工具清单等所有随机出厂资料)。 3、Packing standard: the whole machine is packed bare, the accessories and documents accompanying the equipment are packed in iron boxes which are not recycled (Party B is required to provide with the goods the packing list, list of spare parts of the accompanying equipment and list of small tools and other factory information of all accompanying equipment). 4、运输单证 4. Transportation documents （1）装箱单及/或重量单三份，注明合同号及唛头，并逐件列明每包装毛重、净重及尺码。 (1) Packing list/weight Memo in 3 copies, indicating gross and net weight of each package. （2）由制造厂商出具的质量及重量证明各二份。 (2)Certificate of quality and quantity in 2 copy issued by the manufacturer. （3）由保险公司出具的以甲方为受益人的、按发票金额110%投保一切险的单据二份正本二份副本。 (3) Certificate of insurance in 2 original and 2 copies for 110% of invoice value covering all risks with the Party B as beneficiary, issued by the insurance company. （4）原产地证明二份正本。 (4) Two original certificate of origin. 七、设备检验 7. Inspection of Equipment 1、乙方应对合同设备进行检验并向甲方提交质量合格证书和发货前的检验记录，因此所发生的费用均由乙方承担。 The Party B shall inspect the Contract Equipment and issue the ex-works quality certificates as well as pre-delivery inspection records, all expenses involved shall be for the Party B\'s account. The ex-works quality certificates and pre-delivery inspection records shall be submitted to the Party A. 2、甲方有权派遣检验人员到乙方生产厂家国家同乙方检验人员一起对主要设备的生产程序和质量进行检验。乙方应免费向甲方的检验人员提供工作设备，包括但不限于必要的技术文件、检验工具和仪器。 2. Party A has the right to dispatch the inspectors to Party B's manufacturer's country with Party B's inspectors to effect inspection of the production procedures and the main equipment’s quality. Party B shall provide Party A's inspectors with working equipment free of charge, including but not limited to the necessary technical documents, inspection tools and instruments. 4、乙方所供设备如发现不合格产品，乙方必须无条件退回不合格产品，更换相同数量、相同规格型号的合格产品，并承担由此发生的一切费用。 4. If the equipment supplied by Party B is found to be substandard or unqualified, Party B must unconditionally return the substandard or unqualified product and replace the same with a qualified product of the same quantity and the same specification, and bear all costs incurred as a result. 八、塔吊的安装 8. Installation of tower crane 1、设备到场后，乙方必须派遣专业技术人员到甲方现场进行安装并负责指导塔机调试事宜。 1、Party B shall, upon arrival of the equipment at the site, arrange the professional technical personnel to the Party A’s site for installation and is responsible for guiding the commissioning of the tower crane. 2、在设备进场前天, 乙方向甲方提供设备的基础图纸，准备齐全安装、顶升、附着、维护保养等施工作业中所需的满足工作要求的设备、吊具、索具、工具、仪器。 2、In the days before the equipment is delivered to the site, Party B shall, days prior to the equipment’s entering the site, provide Party A with the foundation drawings of the equipment and prepare a complete set of equipment, spreaders, rigging, tools and instruments which required for installation, jacking, attachment, maintenance and other construction operations to meet the work requirements. 3、乙方按照安全技术标准及建筑起重机械性能要求，向甲方提交一份建筑起重机械安装（含顶升、附着）专项施工方案。 3, Party B shall, in accordance with the technical safety standards and the performance requirements of construction cranes, submit to Party A a copy of the special construction program of construction crane installation (including for jacking, attachment). 4、按照合同规定的时间和技术附件的要求完成塔吊的安装、调试。 4、Complete the installation and commissioning of the tower crane in accordance with the time specified in the contract and the requirements of the technical annexes |
