The documents constituting the contract include the contract agreement, the notice of winning bid (if any), the bid letter and its appendix (if any), the particular contract conditions and their attachments, the general contract conditions, the employer's Requirements, the contractor's proposal, the price list and other contract documents agreed by the parties. 第2条发包人 Article 2 Employer 2.1 遵守法律 2.1 Compliance With Laws 发包人在履行合同过程中应遵守法律，并承担因发包人违反法律给承包人造成的任何费用和损失。发包人不得以任何理由，要求承包人在工程实施过程中违反法律、行政法规以及建设工程质量、安全、环保标准，任意压缩合理工期或者降低工程质量。 The employer shall comply with laws in the process of fulfilling the contract, and bear any and all expenses and losses caused to the contractor due to its violation or default law. The employer shall not, for any reason, require the contractor to violate the laws, administrative regulations and the quality, safety and environmental protection standards of the construction project during implementation of the project, arbitrarily reduce the reasonable time limit or reduce the quality of the project. 2.2 提供施工现场和工作条件 2.2 Provision of construction site and working conditions 2.2.1 提供施工现场 2.2.1 Provision of Construction Site 发包人应按专用合同条件约定向承包人移交施工现场，给承包人进入和占用施工现场各部分的权利，并明确与承包人的交接界面，上述进入和占用权可不为承包人独享。如专用合同条件没有约定移交时间的，则发包人应最迟于计划开始现场施工日期7天前向承包人移交施工现场，但承包人未能按照第4.2款[履约担保]提供履约担保的除外。 The contractor shall hand over the construction site to the contractor in accordance with the terms of the special contract, give the contractor the right to enter and occupy all parts of the construction site, in addition to clarify the interface with the contractor. The above access and occupation rights may not be exclusive to the contractor. If the particular conditions hereof fail to specify the time of transfer, the contractor shall hand over the construction site to the contractor no later than 7 days prior to the planned commencement date of the site construction, unless the contractor fails to provide a performance guarantee in accordance with article 4.2. 3.3 工程师 3.3 Engineer 3.3.1 发包人需对承包人的设计、采购、施工、服务等工作过程或过程节点实施监督管理的，有权委任工程师。工程师的名称、监督管理范围、内容和权限在专用合同条件中写明。根据国家相关法律法规规定，如本合同工程属于强制监理项目的，由工程师履行法定的监理相关职责，但发包人另行授权第三方进行监理的除外。 3.3.1 Provided that if the employer is necessary to supervise and manage the contractor's design, procurement, construction, service and other work processes or process nodes, he shall have the right to appoint an engineer. The engineer's name, scope, content and authority of superintendence management or control shall be stated in the particular conditions hereof. Under and in compliance with the relevant State’s law and regulations, if such contract engineering projects are subject to compulsory supervision, the engineers shall perform and discharge the relevant functions and duties of the legal supervision, however, unless otherwise authorized by the contractor for supervision by a third party 3.3.2 工程师按发包人委托的范围、内容、职权和权限，代表发包人对承包人实施监督管理。若承包人认为工程师行使的职权不在发包人委托的授权范围之内的，则其有权拒绝执行工程师的相关指示，同时应及时通知发包人，发包人书面确认工程师相关指示的，承包人应遵照执行。 3.3.2 The engineer shall supervise and administer the contractor on behalf of the employer as per the scope, content, functions and powers entrusted by the employer. If the contractor considers that the authority exercised by the engineer is not within the scope of authorization entrusted by the employer, he shall have the right to refuse to carry out the relevant instructions of the engineer, and shall notify the employer in time, however, if the employer confirms in writing the relevant instructions of the engineer, the contractor shall comply with the same. 3.3.3 在发包人和承包人之间提供证明、行使决定权或处理权时，工程师应作为独立专业的第三方，根据自己的专业技能和判断进行工作。但工程师或其人员均无权修改合同，且无权减轻或免除合同当事人的任何责任与义务。 3.3.3 When providing proof, exercising the right of decision or handling between the employer and contractor, the engineer shall work as third party with independent professional, based on his own professional skills and judgment. However, neither the engineer nor his personnel has the right to make amendment of contract, and has no right to reduce or relieve any responsibilities and obligations of the parties hereto. 3.3.4通用合同条件中约定由工程师行使的职权如不在发包人对工程师的授权范围内的，则视为没有取得授权，该职权应由发包人或发包人指定的其他人员行使。若承包人认为工程师的职权与发包人（包括其人员）的职权相重叠或不明确时，应及时通知发包人，由发包人予以协调和明确并以书面形式通知承包人。 3.3.4 If the authority to be exercised by the e is not within the scope of the employer's authorization to the engineer, it shall be deemed not to have been authorized, and the authority shall be exercised by the employer or other person designated by the employer. If the contractor considers the engineer's authority overlaps or is not clear with the employer’s authority (including its personnel), the employer shall be notified in time, and the employer shall coordinate, clarify and notify the contractor in writing. 4.5.3 分包人资质 4.5.3 Qualifications of subcontractors 分包人应符合国家法律规定的资质等级，否则不能作为分包人。承包人有义务对分包人的资质进行审查。 The subcontractor shall be conforming to the qualification level stipulated by State’s laws, otherwise it cannot be a subcontractor. Contractor is obliged to carry out inspection of subcontractor’s qualification. 4.5.4 分包管理 4.5.4 Subcontracting Management 承包人应当对分包人的工作进行必要的协调与管理，确保分包人严格执行国家有关分包事项的管理规定。承包人应向工程师提交分包人的主要管理人员表，并对分包人的工作人员进行实名制管理，包括但不限于进出场管理、登记造册以及各种证照的办理。 The contractor shall carry out necessary coordination and management or control of the work of the subcontractor, use due diligence to ensure the subcontractor strictly implements the State’s management regulations over the subcontracting matters. The contractor shall submit the list of subcontractor’s main management personnel to the engineer, and perform the real-name management of the subcontractor’s staff, including without limitation to the management of entry and exit the site, registration, in addition to processing of various certificates and licence. 4.5.5 分包合同价款支付 4.5.5 Payment of Subcontract Price （1）除本项第（2）目约定的情况或专用合同条件另有约定外，分包合同价款由承包人与分包人结算，未经承包人同意，发包人不得向分包人支付分包合同价款； (1) Except for the circumstances stipulated in article (2) of this subarticle or the particular conditions hereof otherwise stipulated, the subcontract price shall be settled by the contractor and the subcontractor, without the contractor’s consent , the employer shall not pay the subcontractor the subcontract price; （2）生效法律文书要求发包人向分包人支付分包合同价款的，发包人有权从应付承包人工程款中扣除该部分款项，将扣款直接支付给分包人，并书面通知承包人。 (2) If the legal instruments in force require the employer to pay the subcontract price to the subcontractor, the employer have the authority to deduct such part of the payment from the contractor’s project cost and pay the deduction directly to the subcontractor with notice in writing to the contractor. 4.6 联合体 4.6 Consortium 4.6.1 经发包人同意，以联合体方式承包工程的，联合体各方应共同与发包人订立合同协议书。联合体各方应为履行合同向发包人承担连带责任。 4.6.1 The parties to the consortium shall, with the employer’s consent jointly conclude a contract agreement with the contractor, be jointly and severally liable to the employer for the performance of the contract. 4.6.2 承包人应在专用合同条件中明确联合体各成员的分工、费用收取、发票开具等事项。联合体各成员分工承担的工作内容必须与适用法律规定的该成员的资质资格相适应，并应具有相应的项目管理体系和项目管理能力，且不应根据其就承包工作的分工而减免对发包人的任何合同责任。 4.6.2 The contractor shall specify the division of labor, fee collection, and invoice issuance of each member of the consortium in the particular conditions hereof. The work content of each member of the consortium must be in line with the qualifications of the member required by applicable laws, and should have a corresponding project management system and project management ability and capability, and shall not mitigate any contractual liability to the employer as per its division of labor in the contract work. 4.6.3 联合体协议经发包人确认后作为合同附件。在履行合同过程中，未经发包人同意，不得变更联合体成员和其负责的工作范围，或者修改联合体协议中与本合同履行相关的内容。 4.6.3 The consortium agreement with identification of the employer shall be taken as the appendix to contract. In the course of performing the contract, members of the consortium and their scope of work shall, without the employer’s consent, not be changed or the contents of the consortium agreement related to the performance hereof. 4.7 承包人现场查勘 4.7 Contractor’s Inspection on Site 4.7.1 除专用合同条件另有约定外，承包人应对基于发包人提交的基础资料所做出的解释和推断负责，因基础资料存在错误、遗漏导致承包人解释或推断失实的，按照第2.3项[提供基础资料]的规定承担责任。承包人发现基础资料中存在明显错误或疏忽的，应及时书面通知发包人。 4.7.1 Unless otherwise stipulated in the particular conditions hereof, the contractor shall be responsible for the interpretation and inference based on the basic information submitted by the contractor, if the contractor's interpretation or inference is false due to errors or omissions in the basic information, it shall be liable in accordance with article 2.3. If the contractor finds any obvious errors or omissions exist in the basic information, it shall notify the employer in writing in time. 6.2 材料和工程设备 6.2 Materials and Engineering Equipment 6.2.1 发包人提供的材料和工程设备 6.2.1 Materials and engineering equipment of the employer provide 发包人自行供应材料、工程设备的，应在订立合同时在专用合同条件的附件《发包人供应材料设备一览表》中明确材料、工程设备的品种、规格、型号、主要参数、数量、单价、质量等级和交接地点等。 Where the employer supplies materials or engineering equipment on its own, it shall, at the time of conclusion of the contract, specify in the appendix the List of Materials and Equipment Supplied by the Employer to the particular conditions hereof the variety, specification, model, main parameters, quantity, unit price, quality grade and handover place of the materials and engineering equipment. 承包人应根据项目进度计划的安排，提前28天以书面形式通知工程师供应材料与工程设备的进场计划。承包人按照第8.4款[项目进度计划]约定修订项目进度计划时，需同时提交经修订后的发包人供应材料与工程设备的进场计划。发包人应按照上述进场计划，向承包人提交材料和工程设备。 The contractor shall, under and in compliance with the project program, notify the engineer in writing 28 days in advance of the entry plan for the supply of materials and engineering equipment. When the contractor modifies the project schedule in accordance with article 8.4[Project Schedule], it shall submit the revised entry plan for the employer's supply of materials and engineering equipment at the same time. The employer shall submit materials and engineering equipment to the contractor in accordance with the above entry plan. 发包人应在材料和工程设备到货7天前通知承包人，承包人应会同工程师在约定的时间内，赴交货地点共同进行验收。除专用合同条件另有约定外，发包人提供的材料和工程设备验收后，由承包人负责接收、运输和保管。 The employer shall notify the contractor 7 days prior to arrival of the materials and engineering equipment, and the contractor shall, together with the engineer, arrive the delivery place within the agreed time for acceptance check. Unless otherwise stipulated in the particular conditions hereof, the contractor shall, upon acceptance check, responsible for receiving, transporting and keeping the materials and engineering equipment. 7.4 测量放线 7.4 Measuring and setting-out 7.4.1 除专用合同条件另有约定外，承包人应根据国家测绘基准、测绘系统和工程测量技术规范，按基准点（线）以及合同工程精度要求，测设施工控制网，并在专用合同条件约定的期限内，将施工控制网资料报送工程师。 7.4.1 Unless otherwise stipulated in the particular conditions hereof, the contractor shall make the measurement and establishment of the construction control network under and in compliance with the State’s datum and system of surveying and mapping, surveying and mapping, the specification of engineering measurement technology, the reference point (line) and the contract engineering accuracy require, in addition to submit the data of the construction control network to the engineer. 7.4.2 承包人应负责管理施工控制网点。施工控制网点丢失或损坏的，承包人应及时修复。承包人应承担施工控制网点的管理与修复费用，并在工程竣工后将施工控制网点移交发包人。承包人负责对工程、单位/区段工程、施工部位放线，并对放线的准确性负责。 7.4.2 The contractor shall be responsible for the management or control execution of the construction control network. If the construction control network is lost or damaged, the contractor shall repair or make good it in time. The contractor shall bear the cost of management and repair of the construction control network and hand over the construction control network to the employer subsequent to the completion of the project. The contractor is responsible for the setting-out of the project, unit/article project, execution of the works, and the accuracy of the setting-out. 第8条工期和进度 Article 8 Duration and progress schedule 8.1 开始工作 8.1 Commencement of work 8.1.1 开始工作准备 8.1.1 Ready for work 合同当事人应按专用合同条件约定完成开始工作准备工作。 The parties hereto shall complete the preparatory work for the commencement under the particular conditions hereof. 8.1.2 开始工作通知 8.1.2 Notification of commencement 经发包人同意后，工程师应提前7天向承包人发出经发包人签认的开始工作通知，工期自开始工作通知中载明的开始工作日期起算。 除专用合同条件另有约定外，因发包人原因造成实际开始现场施工日期迟于计划开始现场施工日期后第84天的，承包人有权提出价格调整要求，或者解除合同。发包人应当承担由此增加的费用和（或）延误的工期，并向承包人支付合理利润。 The engineer shall, with the employer’s consent seven days in advance, issue the contractor the notification of commencement signed by the employer and the construction period shall run from the commencement date stated in the notice. Unless otherwise stipulated in the particular conditions hereof,if the actual site construction date is later than 84 days after the planned site construction date, the contractor shall have the right to request price adjustment or terminate the contract. The employer shall bear the added costs and (or) delayed construction period in addition to pay reasonable profits to the contractor. 8.2 竣工日期 8.2 Completion date 承包人应在合同协议书约定的工期内完成合同工作。除专用合同条件另有约定外，工程的竣工日期以第10.1条[竣工验收]的约定为准，并在工程接收证书中写明。 The contractor shall complete the contract work within the time limit specified in the contract agreement. Unless otherwise stipulated in the particular conditions hereof, the completion date of the project shall be subject to the stipulations in article 10.1 [Completion Acceptance] and shall be stated in the project acceptance certificate . 因发包人原因，在工程师收到承包人竣工验收申请报告42天后未进行验收的，视为验收合格，实际竣工日期以提交竣工验收申请报告的日期为准，但发包人由于不可抗力不能进行验收的除外。 Provided that if failure of the acceptance carried out by the engineer 42 days upon receipt of the contractor's application report of completion acceptance, the acceptance shall be deemed to be qualified, and the actual completion date shall be the submission date of application report of completion acceptance, however except to the employer is unable to accept due to force majeure. 8.3 项目实施计划 8.3 Project implementation plan 8.3.1 项目实施计划的内容 8.3.1 Content of the project implementation plan 项目实施计划是依据合同和经批准的项目管理计划进行编制并用于对项目实施进行管理和控制的文件，应包含概述、总体实施方案、项目实施要点、项目初步进度计划以及合同当事人在专用合同条件中约定的其他内容。 The project implementation plan is the document prepared on basis of the contract and the approved project management plan and used to manage and control the project implementation, shall contain the overview, general implementation plan, key-points of project implementation, preliminary progress plan of the project and other contents agreed by the parties hereto in the particular conditions hereof. |
